The remaining board or committee members shall decide if a conflict of interest exists. Compensation of trustees in accordance with the foundation's compensation policy shall not constitute a conflict of interest. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairman of the foundation or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the foundation can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested trustees whether the transaction or arrangement is in the foundation's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement. If the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.

Form 990, Part VI, Section B, Line 15B

Determining compensation follows a study of comparable data, cost of living, and other data. Compensation is a large component of the budgeting process and is discussed in committee. Each school's finance committee completes an analysis of compensation for all employees and key employees during the annual operating budget process. The schools compare compensation against other schools in the area and other independent schools and study cost of living data, etc. The schools' finance committees then make a recommendation to the board of trustees in the fall requesting approval for the next school year. The resolution is recorded in the board minutes. This process last occurred in december 2023.

Financial Statement Notes

PART II, LINE 9:

Land on balance sheet - no footnote

PART V, LINE 4:

The foundation's endowment is the donald b. Ozmun scholarship for personal excellence. The donor contributed $250,000 for the purpose of endowing a scholarship to one student at the alexander dawson school in las vegas. The scholarship allows one student to attend the school each academic year. The child shall be a child of an employee of the police, paramedic or fire department of las vegas or its surrounding communities. The fund will satisfy the cost of tuition plus up to $500 for uniforms, books, etc. It is expected that the fund create sufficient income to satisfy the annual commitment and the principal of the fund will be preserved to allow the scholarship to be funded in perpetuity. The alexander dawson schools endowment will allow the schools to rely on the annual income from permanently invested funds, relieving pressure on tuition and the schools' annual fund. To be competitive with the leading college preparatory schools, the school must: -continue to create innovative programs -attract exceptional, motivated and naturally curious students, regardless of financial need, and -recruit, reward, and retain the most talented and experienced teachers. The endowment goal is to provide a sustainable level of income to maintain a faculty of the highest caliber, to provide financial aid for deserving students, to support faculty professional training and development and to support current operations and provide for the long-term financial security and stability of the school in perpetuity.
