Governance Explanations

Form 990, Part VI, Section A, Line 4

Bylaws were amended during fiscal year 2021. The following significant changes were made: 1. Article iii - regional membership. - regional members must now establish a regional council which contributes to the formulation and development of primeglobal's strategy and plans by increasing engagement with independent member firms (imfs). - the regional councils rather than the regional boards ensure members' views are represented. Proposed regional directors are nominated by the board of directors and appointed in accordance with local legislation and practice. The regional directors may be staff or members - whichever is practically more efficient to complete compliance requirements. 2. Article iv - membership - to maintain consistent standards, the world bylaws include a requirement that prospective imfs must pass entrance criteria agreed by the board of directors. - primeglobal membership standards and communication standards which currently set out further requirements for prospective and continuing membership have been included in an annex to the world bylaws. The board of directors may agree to amend this annex. This brings all the requirements imfs must follow into one document. - primeglobal's regional executive directors will seek guidance from the relevant regional council regarding the suitability a prospective member firm. - primeglobal's executive management team will review comments and determine whether the prospective member firm meets the requirements of membership entry criteria approved by the board of directors and therefore whether the prospective member should be admitted to membership as an imf. The board of directors provides oversight while the management team leads on members' behalf. - the executive management team may terminate an imf's membership if it breaches continuing membership obligations. 3. Articles v and vi - board of directors. - one oversight board will be created and its members will reflect the relative size of our regional membership - three north america directors, three emea directors, two asia pacific directors, two latin american directors and one chair (elected by the board) and the chief executive officer (ceo). The chair and ceo will be non-voting members of the board. - only persons who are proprietors, partners, members or shareholders or members of the c-suite of equivalent standing are eligible to be elected by the four regional councils to serve as directors. - to avoid disproportional influence, there will in no case be more than one director from the same imf serving on the board of directors and a regional council at any one time. - to encourage rotation, directors shall be elected to a maximum of two (three) year terms. The maximum an individual can serve on the board of directors is for a total of six years of their professional career in which they meet the eligibility requirement. - a member of the board of directors may be removed by a 75% vote of the board of directors. A regional council is also entitled to remove the directors which it appointed by a 75% vote of that regional council. This ensures accountability back to imfs. - the board of directors is responsible for overseeing and approving strategy, annual reports, budgets (world and regional) and assessing the performance of the chief executive officer. - at all board of directors' meetings, attendance throughout the meeting by 8 members of the board of directors shall constitute a quorum. - to ensure that members' needs are paramount, board decisions will require 75% approval. A high threshold has been set to ensure regional imfs' views and needs are considered in the new governance arrangements. 4. Article vii - chair and chief executive officer. - the chair of the board will be elected by the board of directors and will serve for a two-year term. The chair will be elected from among the board of directors. The chair can serve a maximum of one term; however, the board of directors can extend the chair's term

For each interest disclosed to the chairman of the board of directors, the chairman will determine whether to: (a) take no action; (b) assure full disclosure to the board of directors and other individuals covered by this policy; (c) ask the person to recuse from participation in related discussions or decisions within the organization; or (d) ask the person to resign from his or her position in the organization or, if the person refuses to resign, become subject to possible removal in accordance with the organization's removal procedures. The organization's chief employed executive and chief employed finance executive will monitor proposed or ongoing transactions for conflicts of interest and disclose them to the chairman of the board of directors in order to deal with potential or actual conflicts, whether discovered before or after the transaction has occurred.

In setting the ceo's salary for the coming year they take into account previous year's performance, market conditions, comparable earnings of ceo's in comparable organisations, etc. They seek the views of their peers and independent persons operating within the executive search market. ARTICLE III - REGIONAL MEMBERSHIP. - REGIONAL MEMBERS MUST NOW ESTABLISH A REGIONAL COUNCIL WHICH CONTRIBUTES TO THE FORMULATION AND DEVELOPMENT OF PRIMEGLOBAL'S STRATEGY AND PLANS BY INCREASING ENGAGEMENT WITH INDEPENDENT MEMBER FIRMS (IMFS). - THE REGIONAL COUNCILS RATHER THAN THE REGIONAL BOARDS ENSURE MEMBERS' VIEWS ARE REPRESENTED. PROPOSED REGIONAL DIRECTORS ARE NOMINATED BY THE BOARD OF DIRECTORS AND APPOINTED IN ACCORDANCE WITH LOCAL LEGISLATION AND PRACTICE. THE REGIONAL DIRECTORS MAY BE STAFF OR MEMBERS - WHICHEVER IS PRACTICALLY MORE EFFICIENT TO COMPLETE COMPLIANCE REQUIREMENTS. 2. ARTICLE IV - MEMBERSHIP - TO MAINTAIN CONSISTENT STANDARDS, THE WORLD BYLAWS INCLUDE A REQUIREMENT THAT PROSPECTIVE IMFS MUST PASS ENTRANCE CRITERIA AGREED BY THE BOARD OF DIRECTORS. - PRIMEGLOBAL MEMBERSHIP STANDARDS AND COMMUNICATION STANDARDS WHICH CURRENTLY SET OUT FURTHER REQUIREMENTS FOR PROSPECTIVE AND CONTINUING MEMBERSHIP HAVE BEEN INCLUDED IN AN ANNEX TO THE WORLD BYLAWS. THE BOARD OF DIRECTORS MAY AGREE TO AMEND THIS ANNEX. THIS BRINGS ALL THE REQUIREMENTS IMFS MUST FOLLOW INTO ONE DOCUMENT. - PRIMEGLOBAL'S REGIONAL EXECUTIVE DIRECTORS WILL SEEK GUIDANCE FROM THE RELEVANT REGIONAL COUNCIL REGARDING THE SUITABILITY A PROSPECTIVE MEMBER FIRM. - PRIMEGLOBAL'S EXECUTIVE MANAGEMENT TEAM WILL REVIEW COMMENTS AND DETERMINE WHETHER THE PROSPECTIVE MEMBER FIRM MEETS THE REQUIREMENTS OF MEMBERSHIP ENTRY CRITERIA APPROVED BY THE BOARD OF DIRECTORS AND THEREFORE WHETHER THE PROSPECTIVE MEMBER SHOULD BE ADMITTED TO MEMBERSHIP AS AN IMF. THE BOARD OF DIRECTORS PROVIDES OVERSIGHT WHILE THE MANAGEMENT TEAM LEADS ON MEMBERS' BEHALF. - THE EXECUTIVE MANAGEMENT TEAM MAY TERMINATE AN IMF'S MEMBERSHIP IF IT BREACHES CONTINUING MEMBERSHIP OBLIGATIONS. 3. ARTICLES V AND VI - BOARD OF DIRECTORS. - ONE OVERSIGHT BOARD WILL BE CREATED AND ITS MEMBERS WILL REFLECT THE RELATIVE SIZE OF OUR REGIONAL MEMBERSHIP - THREE NORTH AMERICA DIRECTORS, THREE EMEA DIRECTORS, TWO ASIA PACIFIC DIRECTORS, TWO LATIN AMERICAN DIRECTORS AND ONE CHAIR (ELECTED BY THE BOARD) AND THE CHIEF EXECUTIVE OFFICER (CEO).
