Governance Explanations

Rwj barnabas health, inc. ("rwj bh") is the sole member of this organization. Rwj bh has the right to elect the members of this organization's board of trustees and has certain reserved powers as defined in this organization's bylaws.

CORE FORM, PART VI, SECTION B; QUESTION 11B

The organization is an affiliate within rwjbarnabas health; a tax-exempt integrated healthcare delivery system ("system"). Rwj barnabas health, inc. Is the tax-exempt parent entity of the system. The organization's federal form 990 was provided to each voting member of its governing body (its board of trustees) prior to filing with the internal revenue service ("irs"). In addition, the rwj barnabas health, inc. Audit committee assumed the responsibility to oversee and coordinate the federal form 990 preparation, review and filing process for all tax-exempt affiliates within the system. As part of the organization's federal form 990 tax return preparation process, the system hired a professional certified public accounting ("cpa") firm with experience and expertise in both healthcare and not-for-profit tax return preparation to prepare the federal form 990. The cpa firm's tax professionals worked closely with the organization's finance personnel and system individuals including senior vice president/general counsel, chief financial officer, senior vice president of system internal audit and various other individuals ("internal working group") to obtain the information needed in order to prepare a complete and accurate tax return. The cpa firm prepared a draft federal form 990 and furnished it to the organization's internal working group for review. The organization's internal working group reviewed the draft federal form 990 and discussed questions and comments with the cpa firm. Revisions were made to the draft federal form 990 where necessary and a final draft was furnished by the cpa firm to the organization's internal working group for final review and approval. This form 990 was also reviewed at a special meeting which included the organization's chief financial officer, a board member of the organization and the outside professional cpa firm which was retained to prepare the federal form 990. Following this review, the final federal form 990 was provided to each voting member of the organization's governing body prior to filing with the irs.

The organization has a written conflict of interest policy with which it regularly monitors and enforces compliance. This conflict of interest policy requires that a conflict of interest form consistent with best governance practices and internal revenue service guidelines be circulated to officers, trustees and key employees annually. In a situation in which a trustee discloses an interest that could give rise to a conflict, the trustee's potential conflict is referred to the system's corporate nominating and governance committee which evaluates the conflict and its potential impact on the trustee's participation on the board or on certain issues which may come before the board. As appropriate the committee will take action to address the conflict.

THE ORGANIZATION IS AN AFFILIATE WITHIN RWJBARNABAS HEALTH; A TAX-EXEMPT INTEGRATED HEALTHCARE DELIVERY SYSTEM WHICH INCLUDES RWJ BARNABAS HEALTH, INC. ("RWJ BH"); A RELATED INTERNAL REVENUE CODE SECTION 501(C)(3) TAX-EXEMPT ORGANIZATION. RWJ BH'S BOARD OF TRUSTEES MAINTAINS AN EXECUTIVE COMPENSATION COMMITTEE ("COMMITTEE"). THE COMMITTEE HAS ADOPTED A WRITTEN EXECUTIVE COMPENSATION PHILOSOPHY WHICH IT FOLLOWS WHEN IT REVIEWS AND APPROVES OF THE COMPENSATION AND BENEFITS OF RWJ BH'S SENIOR MANAGEMENT. THE COMMITTEE ALSO REVIEWS THE COMPENSATION AND BENEFITS OF OTHER OFFICERS AND KEY EMPLOYEES OF RWJBARNABAS HEALTH; INCLUDING, WITHOUT LIMITATION, THE CHIEF EXECUTIVE OFFICERS OF the RWJBARNABAS HEALTH HOSPITALS AND MEDICAL CENTERS. THE COMMITTEE, WHICH IS REQUIRED BY THE CORPORATION'S BYLAWS TO BE COMPRISED SOLELY OF INDEPENDENT TRUSTEES, SEEKS GUIDANCE AND SUBSTANTIATION FROM A NATIONALLY RECOGNIZED COMPENSATION CONSULTANT. THE COMMITTEE REVIEWS THE "TOTAL COMPENSATION" OF THE INDIVIDUALS WHICH IS INTENDED TO INCLUDE BOTH CURRENT AND DEFERRED COMPENSATION AND ALL EMPLOYEE BENEFITS, BOTH QUALIFIED AND NON-QUALIFIED. THE COMMITTEE'S REVIEW IS DONE ON AT LEAST AN ANNUAL BASIS AND ENSURES THAT THE "TOTAL COMPENSATION" OF SENIOR MANAGEMENT OF THE ORGANIZATION IS REASONABLE. THE ACTIONS TAKEN BY THE COMMITTEE ENABLE THE ORGANIZATION TO RECEIVE THE REBUTTABLE PRESUMPTION OF REASONABLENESS FOR PURPOSES OF INTERNAL REVENUE CODE SECTION 4958 WITH RESPECT TO THE TOTAL COMPENSATION OF CERTAIN MEMBERS OF THE SENIOR MANAGEMENT TEAM. THE THREE FACTORS WHICH MUST BE SATISFIED IN ORDER TO RECEIVE THE REBUTTABLE PRESUMPTION OF REASONABLENESS ARE THE FOLLOWING: 1. THE COMPENSATION ARRANGEMENT IS APPROVED IN ADVANCE BY AN "AUTHORIZED BODY" OF THE APPLICABLE TAX-EXEMPT ORGANIZATION WHICH IS COMPOSED ENTIRELY OF INDIVIDUALS WHO DO NOT HAVE A "CONFLICT OF INTEREST" WITH RESPECT TO THE COMPENSATION ARRANGEMENT; 2. THE AUTHORIZED BODY OBTAINED AND RELIED UPON "APPROPRIATE DATA AS TO COMPARABILITY" PRIOR TO MAKING ITS DETERMINATION; AND 3. THE AUTHORIZED BODY "ADEQUATELY DOCUMENTED THE BASIS FOR ITS DETERMINATION" CONCURRENTLY WITH MAKING THAT DETERMINATION. THE COMMITTEE IS COMPRISED OF MEMBERS OF THE BOARD OF TRUSTEES EACH OF WHO ARE INDEPENDENT AND ARE FREE FROM ANY CONFLICTS OF INTEREST. THE COMMITTEE RELIED UPON APPROPRIATE COMPARABLE DATA; SPECIFICALLY THE COMMITTEE OBTAINED A WRITTEN COMPENSATION STUDY FROM AN INDEPENDENT FIRM WHICH SPECIALIZES IN THE REVIEW OF HOSPITAL AND HEALTHCARE SYSTEM EXECUTIVE COMPENSATION AND BENEFITS THROUGHOUT THE UNITED STATES. THIS STUDY USED COMPARABLE GEOGRAPHIC AND DEMOGRAPHIC MARKET DATA INCLUDING, BUT NOT LIMITED TO, SIMILARLY SIZED HEALTHCARE SYSTEMS AND HOSPITALS, # OF LICENSED BEDS AND NET PATIENT SERVICE REVENUE. THE COMMITTEE ADEQUATELY DOCUMENTED THE BASIS FOR ITS DETERMINATION THROUGH THE TIMELY PREPARATION OF WRITTEN MINUTES OF THE COMPENSATION COMMITTEE MEETINGS DURING WHICH THE EXECUTIVE COMPENSATION AND BENEFITS WAS REVIEWED AND SUBSEQUENTLY APPROVED. THE ACTIONS OUTLINED ABOVE WITH RESPECT TO THE COMMITTEE AND THE ESTABLISHMENT OF THE REBUTTABLE PRESUMPTION OF REASONABLENESS APPLIES TO CERTAIN RWJ BH SENIOR MANAGEMENT PERSONNEL. THE COMPENSATION AND BENEFITS OF CERTAIN OTHER INDIVIDUALS CONTAINED IN THIS FORM 990, WHERE APPLICABLE, ARE REVIEWED ANNUALLY BY THE RWJBARNABAS HEALTH PRESIDENT/CHIEF EXECUTIVE OFFICER WITH ASSISTANCE FROM THE ORGANIZATION'S HUMAN RESOURCES DEPARTMENT IN CONJUNCTION WITH THE INDIVIDUAL'S JOB PERFORMANCE DURING THE YEAR AND IS BASED UPON OTHER OBJECTIVE FACTORS DESIGNED TO ENSURE THAT REASONABLE AND FAIR MARKET VALUE COMPENSATION IS PAID BY THE ORGANIZATION. OTHER OBJECTIVE FACTORS INCLUDE MARKET SURVEY DATA FOR COMPARABLE POSITIONS, INDIVIDUAL GOALS AND OBJECTIVES, PERSONNEL REVIEWS, EVALUATIONS, SELF-EVALUATIONS AND PERFORMANCE FEEDBACK MEETINGS.

Background ========== Newark Beth Israel Medical Center ("NBIMC"), a 665-bed teaching hospital established in 1901, provides comprehensive healthcare services to its local communities and is a major referral and treatment center for patients throughout the northern New Jersey metropolitan area. NBIMC is located in the County of Essex, within the city of Newark, which has the most population of all cities in New Jersey. Essex County is the second most densely populated county in the state and the 14th most densely populated in the United States. Essex County is the second most densely populated of the 21 counties and has the third largest total population in the state. Essex has the third largest total population in the state containing 21 counties had had the 6th largest increase in population size estimated from 2010 to 2018. Essex County, a leading financial and industrial hub of the state, consists of both urban and suburban communities that represent a broad range of racial/ethnic and cultural diversity. NBIMC is a major teaching hospital and is recognized by the internal revenue service ("IRS") as an internal revenue code section 501(c)(3) tax-exempt organization. Medical and Community Services ============================== NBIMC services include an array of additional medical services and programs that address the healthcare needs of its communities, from diagnostic, to prevention and treatment. We are always looking for innovative ways to reach members of our community as we work to improve health status. A few of our successful programs include: Monday night football/men's health night with the Beth ------------------------------------------------------ NBIMC was looking for a better way to connect men to having healthy lifestyles and to engage them in improving their quality of life through healthy living. We decided to create programming that would combine things that men enjoy (sports) with things that men historically don't do (have regular health checkups and screenings). Two years ago, we created and hosted Monday night football/men's health night with the Beth. The goal was to use a former NFL player (George Martin) to encourage men to follow his journey to healthy living through diet, exercise and positive living. The evening event includes a presentation by George Martin, followed by power point presentations by four physicians from NBIMC; a cardiologist, an orthopedic surgeon, a urologist and a primary care physician. Before and after the presentations, the men receive a number of screenings, followed by massages and more. The event is strategically held at the Maplewood golf course, and the evening includes a mini-golf exercise as well. Following the presentations, the tailgate party kicks off with food and beverages better than the giants parking lot, followed by the game on tv screens throughout the Maplewood country club. In the first year, our goal was to have 50 men. By the time word spread days before the event, we hosted 102 men, many of whom are now connected to the Beth and who have received a prostate screening and more. This past year, 106 men were immediately screened for prostate as well. In the second year, a Newark fireman told us this event is his yearly reminder to get healthy and stay healthy. He said from Monday night football, he found that he had diabetes and hypertension. He has since lost more than 50 pounds and continues to enjoy life more fully. Men's health night has since spread to high school athletes (unisex) where George Martin speaks to athletes at Newark's Shabazz High School about healthy living and we are about to launch a similar program at our second church. Women's Health Day at the Beth ------------------------------ The women of the South Ward of Newark and other parts of the city always support NBIMCs annual health fair which has been held in September for more than 15 years. A couple of years ago, so many women attended the event that it gave us the idea of creating a health day just for women. The health day would include lectures, guest speakers, screenings, wellness and an exclusive lunch as part of a wellness initiative to improve the health of women in Newark. The first year, we partnered with Rutgers university/Newark to encourage students, professors and employees to join us on a journey of wellness. More than 200 women registered for the day-long wellness program that included NBIMC physicians focused on women's health. The second year, we decided to develop a program for 100 women. From screenings and private consultations with physicians to conversations with geriatricians to yoga, cooking, diet, exercise, massages and healthy eating classes, the day became the highlight of their commitment to begin a regimen of healthy living. The day also included special gifts for women such as journals, makeup donated by Queen Latifah/Revlon, and gifts to serve as a reminder that healthy living can be rewarding. We are looking at ways to explore new ground and new opportunities to make wellness a focal point for the women of the South Ward and Newark. Project Opportunity ------------------- The Beth Greenhouse and Opportunity Project have teamed up as community partners. The goal is to bring the brain injury community together in order to learn about sustainability, hydroponic gardening, and nutrition. Through the invaluable instruction of Karen Basedow, and Lorraine Gibbons, members of Opportunity Project were able to assist in planting, transplanting, and harvesting of various herbs and leafy greens. Members also were able to participate in nutrition classes at Newark Beth Israels Wellness Center led by Karen Basedow and her team. Through these combined courses, members were able to see the development of their produce from seeds to utilizing them in the kitchen at the Wellness Center. Members learned about the process of farming and the importance of consuming fresh, whole foods. The Rev. Dr. Ronald B. Community Health and Wellness Center ----------------------------------------------------------- The Wellness center offers a variety of health and wellness programming including nutrition education, healthy cooking classes, diabetes prevention and fitness classes (450 in total). Registered Dietitians lead community members to changing their lifestyles and improving their health and wellbeing. The wellness center classes address a knowledge deficit and provide the skill set needed to make healthy choices. The greenhouse and wellness center work in synergy increases the access to the healthy food participants are learning about in the classes. ShopRite -------- There is an extensive partnership with ShopRite in which the wellness team works closely with the corporate ShopRite to expand the reach of nutrition education and access to healthy foods. In addition to the retail version of KidsFit, the Newark Beth Israel Medical center Dietitians developed an adult wellness program and trained 60 ShopRite RDs on the program. Wellness focused internships ---------------------------- The Wellness team spent about 1,000 education hours educating and training dietetic interns, nutrition students, and public health interns. Community Partnerships-(Wellness-focused) ----------------------------------------- Newark Beth Israels wellness team supports the city of Newarks Community wellness initiatives including the Believe in Healthy Newark Initiative, The Childrens Cabinet and the Citys food policy initiative. These partnerships leverage each others work and provide opportunities for policy change within the city and Newark public school district. The Beth Challenge ------------------ The Beth Challenge is a wellness program that fosters lifestyle changes for improved health and well-being for life through nutrition and exercise education and support. Recognition and prizes are offered for those who lose the largest percentage of weight or meet their fitness goals at the end of a 12-week period. Contestants can enter as individuals, and/or teams. The program runs continuously during the year to reinforce importance of maintaining a healthy lifestyle. The Family Life Education Center ("FLEC") ----------------------------------------- The Family Life Education Center (FLEC) of Newark Beth Israel Medical Center provides culturally competent, trauma-informed individual services to the Essex County community. We view each individual as a whole person, taking into account important factors such as cultural background and individual experiences. In our program, the focus is placed on strengthening the parents innate ability to respond to the needs of their children and to the many challenges of modern life. FLEC believes in working to support parents by teaching new child-rearing techniques and strategies. We believe that respect is of critical importance. We also strive to empower families to build a strong support network. All of our therapists are specially trained in empirically supported, evidence-based treatments. The FLEC Program places an emphasis on cultural competency. It also utilizes evidence-based curriculums in conjunction with years of clinical experience to help promote healthy, adaptive parenting practices. Each parent works with a licensed therapist to achieve their parenting goals. Newark public schools structured learning experience program -------------------------------------------------------------- The structured learning experience program is designed to increase the career potential of high school students with disabilities by offering them internship opportunities. The volunteer services department takes 12 students (seniors as of September) with learning disabilities to help them make the transition from school to work. The students are chosen from different high schools throughout the city of Newark. These students actually do their senior year at NBIMC. Students receive instruction on site from a special education teacher paid for by the Newark public school system. The remainder of the time is spent working in different areas of the hospital. Our contribution is the work experience, plus lunch. The program helps employers and their non-disabled employees recognize that young people with disabilities can become a highly valued resource in the workplace.
