Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee shall have among its members the officers of the board (president, treasurer, and secretary). This committee shall consist of a total of three board members of which three members constitute a quorum for the transaction of business. The executive committee shall meet only to act in emergencies and/or other occasions established by the board. The executive committee shall have all powers and duties of the board in an emergency situation except it shall not have the power to remove or elect a trustee or the director or approve or disapprove the operating budget. The executive committee may approve unbudgeted expenditures in time of emergency. The secretary of the board shall keep minutes of all meetings of the executive committee and send copies of said minutes to all board members. At the following meeting of the board, all actions of the executive committee will be approved, disapproved or amended by the board. The executive committee meets at the call of the president or upon written request of any two members thereof. The executive committee meets at the call of the president or upon written request of any two members thereof.

Form 990, Part VI, Section B, Line 11B

The senior accountant and controller review the form prior to filing. The board members also receive a copy of the form 990 and review the form at a board meeting prior to filing.

Form 990, Part VI, Section B, Line 12C

All trustees and management staff are required to complete the disclosure of possible conflict of interest form on an annual basis. The board is responsible for distributing, collecting, reviewing and documenting all disclosure statements on an annual basis. Board members are required to refrain from discussing, as well as voting on, such matters in which a conflict of interest exists, and are not counted in determining the quorum for the meeting. In instances where a conflict or potential conflict of interest exists, the board of trustees must determine by a majority vote of the disinterested trustees present, that the transaction or arrangement is in the organization's best interest and for its own benefit, is fair and reasonable to the organization, and that the organization cannot obtain a more advantageous transaction or arrangement with reasonable efforts. The board shall keep minutes and notes regarding any conflicts of interest that are identified and brought before the board and the resolution thereof.

Form 990, Part VI, Section B, Line 15A

The board meets annually to review, discuss and approve a compensation increase for the facility's director. Prior to meeting, each board member is provided with a performance appraisal questionnaire to be completed regarding the director's work performance during the preceding year. All appraisal results are compiled and presented in summary for the board members' reference during the meeting. Compensation surveys are also provided to the board members from the bureau of labor statistics, the new jersey department of labor and workforce development, and/or any other surveys that may be available in order to show comparable rates in the area for similar occupations. The board reviews both the performance survey results and the compensation surveys, considers the director's current salary, and the facility's compensation increase percentage that was previously approved for regular staff members in determining the director's compensation increase for the year. Discussion regarding the director's performance, compensation and the final approved increase are documented in the board minutes. This process is only applicable to the facility's director, as she is the only paid management level staff member.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy and financial statements available to the public upon request.
