Governance Explanations

Form 990, Part VI, Section A, Line 2

Board members tom moran and jeanine poole are married.

Form 990, Part VI, Section B, Line 11B

A copy of the form 990 is provided to the board, audit, and finance committees electronically prior to electronically filing the final form.

Form 990, Part VI, Section B, Line 12C

All board members and staff receive the written conflict of interest policy which clearly defines what constitutes a conflict. Each person is asked to document and sign a statement recording his or her personal conflicts. These forms are updated annually. In addition, those board members who have a potential conflict with a topic brought before the board requiring a decision will abstain from the respective vote.

Form 990, Part VI, Section B, Line 15

The process for hiring and determining the executive director's initial compensation package is evaluated by an ad hoc search committee who will coordinate, collect and review candidate materials. Through the use of comparability data including survey information prepared by an independent compensation source or consultant the committee prepares a recommendation of candidate and compensation then presents the recommendation to the board. The board discusses and votes on the recommendations. The search committee chair and/or board secretary prepare contemporaneous documentation of the discussion and vote. An annual performance review of the executive director includes a voluntary evaluation questionnaire available for all board members and department directors to participate in. This confidential survey is coordinated and summarized through the executive committee. The survey results and compensation discussions are brought to the executive committee for acceptance by vote. A summary of these proceedings are shared with the full board. Compensation is subject to budget limitations that would not exceed the board approved amount. The secretary and/or board chair prepare contemporaneous documentation of the discussion and vote. The process for determining compensation of other senior management and staff is primarily a budgetary function. Comparability data for pay scales are considered when hiring and are not exceeded, however funding availability is the primary factor for setting the initial pay rate. Annually staffing compensation is reviewed by the finance committee, the executive committee and a recommendation is made to the full board. The compensation recommendation is submitted to the full board as part of the operating budget for discussion and vote. The board secretary and/or the executive director prepare contemporaneous documentation of the discussion and vote. Annual performance reviews for all staff is performed for all department directors and staff by their immediate supervisor. Performance goals are linked to the center's strategic and annual work plan. The supervisor prepares contemporaneous documentation for each.

Form 990, Part VI, Section C, Line 19

The center's form 990, form 1023, financial statements, by-laws, and conflict of interest policy are available to the public upon request.
