Governance Explanations

Form 990, Part VI, Section A, line 6

General membership shall be open to any individual paying minimum annual dues of $5.00. Annual membership meetings of the Corporation shall take place each year. Each member shall be entitled to cast his or her vote in person or by mailing the official ballot to the secretary of the Corporation.

Form 990, Part VI, Section A, line 7A

The Board of Directors is elected by and accountable to the membership. There shall be between nine and fifteen seats on the Board of Directors, including the officers. Nine of the seats will be elected by the membership. The remaining seats may be appointed by the President with approval of the full Board.

Any changes made by the Board of Directors to the By-laws must be approved by the general membership of CDR.

After the 990 draft copy was reviewed by select members of the Finance Committee, the final draft copy was then shared with the full CDR Board prior to submission to the IRS and any input received was taken into consideration before filing the form with the IRS.

Benchmarking using the following compensation surveys is used to determine reasonable and comparable pay and benefits for executives: 1. Rochester Business Alliance Annual Salary Survey 2. National Executive Survey Compensation Survey (Rochester Area Report) (Northeast Report) 3. 990 information from three Rochester NY NFP organizations with similar missions and similar revenue. This information is reviewed by the HR Committee (committee of the Board Of Directors [BOD] that includes BOD members and community members). The information is discussed and recommendations are made based on the comparative information for all Directors of the agency. The information is provided to the CEO Compensation Review Committee of the BOD. The CEO Compensation Review Committee receives the benchmarking information for the President/CEO (CEO). The information is discussed and recommendations are made based on the comparative information and to assure the total compensation package for the CEO is fair and within a reasonable range. The total compensation for the CEO and other Directors falls at about or slightly under the median of the benchmarked information. The CEO Compensation Review Committee makes final decisions on pay and benefits for the CEO. The CEO Compensation Review Committee includes the CEO's salary for the next budget year that is ultimately approved by the BOD. The CEO uses the benchmarking information to recommend total compensation for key employees and officers annually. The total compensation for the key employees falls at about or slightly under the median of the benchmarked information. The information is also ultimately approved by the BOD through the budgeting process.

Financial Statement Notes

Part IV, Line 1B:

CDR's Community Supplemental Needs trust was created to provide individuals with disabilities an alternative to the Medicaid 'spend down' of sending in their excess income to their County DSS. Through the program, Trust members will send their 'spend down' to the Trust and the Trust will pay for bills that are for the benefit of the Trust consumer. CDR has set up a bank account which allows individuals with disabilities to 'pool' their money together for investment purposes. Although the funds are pooled together, CDR will maintain individual sub-accounts for each person in the trust.

Part X, Line 2:

Accounting standards require entities to disclose in their financial statements the nature of any uncertainties in their tax position. Tax years including the year ended December 31, 2010 and later are subject to examination by tax authorities. Areas that IRS and state tax authorities consider when examining tax returns of a charity include, but may not be limited to, tax-exempt status and the existence and amount of unrelated business income. The Organization does not believe that it has any uncertain tax positions with respect to these or other matters, and has not recorded any unrecognized tax benefits or liability for penalties or interest. The Organization is not aware of any circumstances or events that make it reasonably possible that tax benefits may increase or decrease within 12 months of the date of these financial statements.

IRS990/Desc0Self-Directed Personal Assistance - In this program, people who require personal care assistance assume a number of the responsibilities generally handled by traditional home health agencies. The person becomes the aide's direct supervisor and handles recruitment, selection, hiring, training, scheduling, supervising and terminating the aides. CDR serves as an "employer-of-record" which is responsible for maintaining personnel and payroll records as well as billing Medicaid. The Agency also assists participants with recruitment and problem solving. It has served over 510 people with disabilities in 12 counties in Western New York, totaling over 867,300 hours of service in 2013.

Those enrolled in the program receive this service to secure and maintain benefits and services, to which they are entitled. To qualify for this program, individuals must have a documented disability and be a recipient of Medicaid. Service Coordination has a responsibility of overseeing waiver and community services to ensure the health and welfare, in addition to facilitating independence for the individual. 103 consumers were served during 2013, which resulted in billing approximately 988 units.

This service gives individuals the opportunity to acquire or advance their skills in the areas of self-advocacy, communication, mobility/transportation, community-based living, educational, self-care, personal resource management, and community/social participation. Community habilitation is primarily performed in the individual's home, assisting the individual to develop skills that will enable community living in the least restrictive environment possible. This is a one-on-one service that promotes independence, inclusion, and individuality. Throughout 2013, the organization provided 6,448 hours of service to 18 people.
