Through Collaborative Technologies program activities managed by the Center of Collaborative Technology, IREX works to provide and integrate new technologies that create a more inclusive information society to help inform communities, policymakers, academics, and civil society leaders throughout the world as they seek ways to expand citizens' access to information. IREX's engages in partnership with people, organizations, and government institutions to improve their communities and foster good governance through elevating citizen voice, broadening access to information for citizens and policymakers, foster accountability and promote good governance. IREX works closely with civil society organizations to strengthen engagement between citizens and government, and provide opportunities for people to improve their lives and be leaders in their communities. Form 990 Review Process

Form 990, Part VI, Line 11b Form 990 was reviewed thoroughly by the organization's Treasurer in initial draft and final form prior to filing. The Board of Directors have authorized the members of the Finance Committee to review the final copy of the return. The review by the Finance Committee was conducted prior to filing the Form 990. The Form 990 was made available electronically to all members of the Board of Directors before it was filed with the IRS.

Conflict of Interest Policy Monitoring & Enforcement

Form 990, Part VI, Line 12c The Board of Governors at their November 2010 meeting adopted an annual conflict of interest submission disclosure requirement for each Governor. A similar disclosure is required for all members of staff senior management group. In addition, IREX has a written conflict of interest policy covering employees. After the annual disclosures are submitted, they are reviewed by the Office of the President (for Board members) or the Chief of Staff (for senior staff). If there is a potential or perceived conflict, the matter is elevated to the President and Chairperson of the Board (for Board members) or the President and Chief of Staff (for senior staff). If there is a conflict, the person would recuse themselves from any deliberations or decision-making related to the transaction.

Process for Determining Compensation

Form 990, Part VI, Lines 15a & 15b The President's annual salary increase and award are determined by the Chairperson of the Board of Governors in consultation with the members of the Executive Committee. Annual salary increases and awards for other officers and key employees are determined by the President based on annually established institutional salary increase ranges for all DC paid employees. Any officer or key employee awards are determined by the President within the parameters of an employee award plan adopted by the Board of Governors. Finally all other officer and key employee salary increases and awards (if any) are reviewed by the President with the Chairperson of the Board. Annually, IREX acquires salary survey information from a variety of sources and makes adjustments of salary ranges, if necessary. Deliberations and decisions regarding the determination of compensation, such as salary increases and awards, are contemporaneously documented.

Form 990, Part VI, Line 19 The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request. Copies of the financial statements are also available on the IREX website.

Explanation of Functional Expenses

Form 990, Part IX, Lines 1, 2, 3, 24A & B In carrying out program services, IREX works extensively in partnerships with other organizations. Over 90% of IREX's total program expenditures were devoted to educational, professional exchanges and partnership activities plus the staff and travel costs directly related to supporting these activities.

Financial Statement Notes

Intended Uses of Endowment Funds

Schedule D, Part V, Line 4 Investment income earned on the NEH endowment funds is to be used for support of humanities activities in education, public programming, scholarly research, and preservation and is temporarily restricted until used for that purpose. Investment income earned on the Mellon endowment fund is to be used for general unrestricted purposes.

Liability for Uncertain Tax Position (ASC 740)

Schedule D, Part X, Line 2 IREX is exempt from federal income taxes under Section 501(c)(3) of the Internal Revenue Code and has been classified by the Internal Revenue Service as an organization that is not a private foundation. Under provisions of the Internal Revenue Code Section 501(c)(3), and applicable state regulations, IREX is exempt from taxes except for unrelated business income. For financial statement purposes IREX is required to record a liability for any material tax position taken which does not meet the minimum thresholds of 'more likely than not' to be successful under regulatory challenge. No provision for income taxes has been recorded in 2015 and 2014 since management believes there is no material unrelated business income or material uncertain tax positions requiring the recognition of a liability. IREX believes it is no longer subject to income tax examinations prior to 2012.
