Governance Explanations

Form 990, Part VI, Section B, Line 11

Mid-hudson children's museum has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, reviewed by management and is ready to be filed with the internal revenue service, it is electronically sent to the board members of the organization for any comments. Any comments are then grouped, summarized and provided to the outside accountants. Each issue is documented and addressed until the return is finalized and approved for filing.

Form 990, Part VI, Section B, Line 12C

The museum's conflict of interest policy is applicable to all board members and officers of the museum. Annually, individuals are required an affirmation statement which discloses any actual or potential conflicts that the individual is aware of. A member of the board of trustees shall abstain from voting or attempting to influence the vote on any matter before the board that places him or her in a conflict of interest. Said trustee shall disclose the conflict or potential conflict as soon as he/she recognizes the conflict. If self-disclosure is not revealed, the board president or any member of the board of trustees can, prior to voting on a specific matter in which a potential conflict of interest exists, inquire whether any member of the board desires to abstain from voting because of a conflict of interest.

Form 990, Part VI, Section B, Line 15A

In 2012, the museum held a national search to fill the executive director position. An outside firm was used to conduct the search and the firm also researched the salary range that is standard for the museum field as a whole. The board reviewed the data from the firm and approved the compensation of the executive director. The approval was documented in the minutes to the board meeting. This process was last undertaken in 2012.

The organization makes its form 990 and form 1023 available for public inspection as required under section 6104 of the internal revenue code. Financial Statement Notes

PART III, LINE 4:

Imagination playground: using imagination playground blocks, kids build a new world every day. They make objects like animals, rocket ships and robots. Imagination playground is a mobile exhibition which means it can invite adventure anywhere! Look for this dynamic play space to "pop up" in the museum, outdoors in our pavilion, on the lawn at the park, and at local festivals. Caroline's baby park: the museum installed a dedicated space for babies and pre-walkers. Exhibits promote gross motor development and early language development. Early learning junction: early learning junction is the museum's area that promotes the development of early skills in children aged 4 and under. It features exhibits that promote the development of social/emotional skills, early literacy and language skills and gross motor skills. The exhibition was developed to promote school readiness among area youth transitioning to kindergarten. Art studio: the museum's created a new art studio space to encourage open-ended activities and creativity. It features hands on exhibits and rotating art activities. Rivertown: rivertown is the museum's imaginative play gallery. It features a market, take-out restaurant, firehouse and fix it shop to encourage learning through imaginative role play. Hyde park mastodon: the mid-hudson children's museum is proud to feature a fully intact, re-constructed replica of a twelve-foot tall mastodon that lived during the ice age. What makes this exhibit really special is that it invites children to climb up next to the mastodon from "inside a giant tree trunk and look the mastodon right in the eye - or, rather - the eye socket. Wonderdome: the museum created wonderdome as an immersive play space that features nine interactive sensory exhibits involving light and color. Museum guests encounter the giant reactor cube where they are invited to create light-art using brightly colored acrylic rods aimed at developing fine motor skills and hand-eye coordination in young children. Two exhibits that highlight the care and intentionality behind the development of this space as a sensory zone are the light waterfall, which is a soothing, color-changing floor length strands of led fiber optics, and the tactile curtain, which invites children to scramble through a wall of noodles. Wonderdome is designed to give children, parents, caregivers and therapists more options for using the children's museum for both therapeutic and explorative play.

PART X, LINE 2:

The museum recognizes the effect of income tax positions only if those positions are more likely than not to be sustained. Management has determined that the museum had no uncertain tax positions that would require financial statement recognition and/or disclosure. The museum is no longer subject to examination by applicable taxing jurisdictions for periods prior to december 31, 2012.
