“The corporation and its subsidiaries, excluding waldo county healthcare management company, are exempt from federal and state income taxes under section 501(c)(3) of the internal revenue code. Accordingly, there is no provision for income taxes within the consolidated financial statements. Tax-exempt organizations could be required to record an obligation for income taxes as the result of a tax position they have historically taken on various tax exposure items including unrelated business income or tax status. Under guidance issued by the financial accounting standards board (fasb), assets and liabilities are established for uncertain tax positions expected to be taken in income tax returns when such positions are judged to not meet the "more-likely-than-not" threshold, based upon the technical merits of the position. Estimated interest and penalties, if applicable, related to uncertain tax positions are included as a component of income tax expense. The corporation and its subsidiaries have evaulated the positions taken on their filed tax returns and have concluded no uncertain income tax positions exist at september 30, 2014. Tax years 2011 through 2014 are open and subject to examination. Management company is a taxable corporation under the internal revenue code, and the corporation is its sole stockholder. Income taxes are recorded based upon the asset and liability method as prescribed by financial accounting standards board (fasb) statement 109, accounting for income taxes. The deferred tax assets related to the net oprating loss carryforwards have been reduced by an equal amount, as it is not presently considered likely that the deferred tax asset will be realized. Accordingly, no income tax expense or benefit was recorded for the years ended september 30, 2014 and 2013.”

TAX-EXEMPT ORGANIZATIONS COULD BE REQUIRED TO RECORD AN OBLIGATION FOR INCOME TAXES AS THE RESULT OF A TAX POSITION THEY HAVE HISTORICALLY TAKEN ON VARIOUS TAX EXPOSURE ITEMS INCLUDING UNRELATED BUSINESS INCOME OR TAX STATUS. UNDER GUIDANCE ISSUED BY THE FINANCIAL ACCOUNTING STANDARDS BOARD (FASB), ASSETS AND LIABILITIES ARE ESTABLISHED FOR UNCERTAIN TAX POSITIONS EXPECTED TO BE TAKEN IN INCOME TAX RETURNS WHEN SUCH POSITIONS ARE JUDGED TO NOT MEET THE "MORE-LIKELY-THAN-NOT" THRESHOLD, BASED UPON THE TECHNICAL MERITS OF THE POSITION. ESTIMATED INTEREST AND PENALTIES, IF APPLICABLE, RELATED TO UNCERTAIN TAX POSITIONS ARE INCLUDED AS A COMPONENT OF INCOME TAX EXPENSE. THE CORPORATION AND ITS SUBSIDIARIES HAVE EVAULATED THE POSITIONS TAKEN ON THEIR FILED TAX RETURNS AND HAVE CONCLUDED NO UNCERTAIN INCOME TAX POSITIONS EXIST AT SEPTEMBER 30, 2014. TAX YEARS 2011 THROUGH 2014 ARE OPEN AND SUBJECT TO EXAMINATION. MANAGEMENT COMPANY IS A TAXABLE CORPORATION UNDER THE INTERNAL REVENUE CODE, AND THE CORPORATION IS ITS SOLE STOCKHOLDER. INCOME TAXES ARE RECORDED BASED UPON THE ASSET AND LIABILITY METHOD AS PRESCRIBED BY FINANCIAL ACCOUNTING STANDARDS BOARD (FASB) STATEMENT 109, ACCOUNTING FOR INCOME TAXES. THE DEFERRED TAX ASSETS RELATED TO THE NET OPRATING LOSS CARRYFORWARDS HAVE BEEN REDUCED BY AN EQUAL AMOUNT, AS IT IS NOT PRESENTLY CONSIDERED LIKELY THAT THE DEFERRED TAX ASSET WILL BE REALIZED. ACCORDINGLY, NO INCOME TAX EXPENSE OR BENEFIT WAS RECORDED FOR THE YEARS ENDED SEPTEMBER 30, 2014 AND 2013. |
