Governance Explanations

Form 990, Part VI, Section A, Line 3

The community builders, inc. (tcb), an affiliate through common control, is the project management agent. The management agreement, effective july 1, 1999, is for an initial term o fone year with successive automatic annual renewals thereafter. Pursuant to the agreement, tbc receives a base management fee of $300 per unit per year ($26,100) for the project. An incentive management fee equal to 4.5% of total effective rental income may be earned by the management agent in lieu of the base fee if the project meets a specified net operating income target, as defined by masshousing, and certain other conditions have been met as specified in the management agreement. The net operating income target for the property in 2015 was $114,349. For the year ended december 31, 2015, the corporation did not meet the net operating income target. Management fees incurred in 2015 amounted to $26,100, none of which is outstanding. Any incentive management fee will be approved by masshousing in conjunction with their review of the annual audit. Accordingly, any such fee will only be recorded when paid in 2016.

THE MANAGEMENT AGREEMENT, EFFECTIVE JULY 1, 1999, IS FOR AN INITIAL TERM O FONE YEAR WITH SUCCESSIVE AUTOMATIC ANNUAL RENEWALS THEREAFTER. PURSUANT TO THE AGREEMENT, TBC RECEIVES A BASE MANAGEMENT FEE OF $300 PER UNIT PER YEAR ($26,100) FOR THE PROJECT. AN INCENTIVE MANAGEMENT FEE EQUAL TO 4.5% OF TOTAL EFFECTIVE RENTAL INCOME MAY BE EARNED BY THE MANAGEMENT AGENT IN LIEU OF THE BASE FEE IF THE PROJECT MEETS A SPECIFIED NET OPERATING INCOME TARGET, AS DEFINED BY MASSHOUSING, AND CERTAIN OTHER CONDITIONS HAVE BEEN MET AS SPECIFIED IN THE MANAGEMENT AGREEMENT. THE NET OPERATING INCOME TARGET FOR THE PROPERTY IN 2015 WAS $114,349. FOR THE YEAR ENDED DECEMBER 31, 2015, THE CORPORATION DID NOT MEET THE NET OPERATING INCOME TARGET. MANAGEMENT FEES INCURRED IN 2015 AMOUNTED TO $26,100, NONE OF WHICH IS OUTSTANDING. ANY INCENTIVE MANAGEMENT FEE WILL BE APPROVED BY MASSHOUSING IN CONJUNCTION WITH THEIR REVIEW OF THE ANNUAL AUDIT.
