Governance Explanations

Form 990, Part VI, Line 11B: Form 990 Review Process

Management of the Organization has periodically educated its Board of Directors with regard to key revisions to Form 990. The Board of Directors of the Organization has delegated responsibility for reviewing the Form 990 to the Executive Committee of the Organization. A copy of the Form 990 was reviewed by the Executive Committee of the Organization and distributed to the full Board of Directors prior to submission.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

The Organization has a conflict of interest policy in place to address any and all conflicts that arise, are reported, or otherwise discovered. On an annual basis, all members of the Board of Directors along with all members of the management team and certain other employees are provided a current copy of the policy and are also required to complete a conflict of interest statement. These statements or any other periodic disclosures are reviewed by the executive director to identify the number, magnitude and nature of all disclosed conflicts. Any material conflicts are then referred to the Board of Directors for further evaluation and resolution.

Form 990, Part VI, Line 15B: Compensation Review and Approval Process for Officers and Key Employees

The Board of Directors is responsible for reviewing and approving the compensation of the executive director. On an annual basis, the Board reviews the total compensation level for the executive director. In addition, local industry compensation comparisons are made based upon data provided by various sources, including the regional office of the related association.With respect to the compensation of other key employees, the executive director of the Organization will conduct job title searches through websites specializing in job search/placement. Compensation information obtained will then be compared to organization budget/funding guidelines. The compensation recommendations of the executive director for key employees are presented to the Board of Directors for approval.
