“The organization has a conflict of interest policy that is required to be signed and maintained annually by the secretary of the board for each individual board trustee and the key employees are required to have in their personnel file. Disclosures are made to the chief executive officer (or if she or he is the one with the conflict, to the board chair), who brings the matter to the attention of the board or a duly constituted committee thereof. The decision of the board or committee on these matters will rest in their sole discretion, and their concern must be the welfare of project harmony and the advancement of its purpose. Transactions with parties with whom a conflicting interest exists are only undertaken if all of the following are observed: 1. The conflicting interest is fully disclosed; 2. The person with the conflict of interest is excluded from the discussion and approval of the transaction (unless we decide as per language on page one to allow participation in the discussion phase of the transaction); 3. During the year ended june 30, 2020, the organizations expended and tracked the ppp funds for purposes outlined in the cares act guidance and believes they have met a portion of the conditions set forth for full forgiveness. Accordingly, under guidance found in fasb asc 958-605, the organizations have recognized a portion of the ppp funding as a conditional grant by which all conditions have been met. The organizations received forgiveness by the sba on february 23, 2021. The remaining $96,656 of grant income is included in other revenue on the accompanying consolidated statement of activities and change in net assets. On march 10, 2021, the organizations received loan proceeds in the amount of $164,675 under the paycheck protection program (ppp).
