Governance Explanations

The form 990 was prepared by outside accountants and was reviewed by the director of finance and accounting. The form 990 was provided to both the finance committee and the full board following the review and before filing.

Form 990, Part VI, Section B, Line 12C

The organization has a conflict of interest policy that is required to be signed and maintained annually by the secretary of the board for each individual board trustee and the key employees are required to have in their personnel file. Disclosures are made to the chief executive officer (or if she or he is the one with the conflict, to the board chair), who brings the matter to the attention of the board or a duly constituted committee thereof. Disclosure involving directors are made to the board chair, (or if she or he is the one with the conflict, then to the board vice-chair) who brings these matters to the board or a duly constituted committee thereof. The board or a duly constituted committee determines whether a conflict exists and in the case of an existing conflict, whether the contemplated transaction may be authorized as just, fair, and reasonable to project harmony. The decision of the board or committee on these matters will rest in their sole discretion, and their concern must be the welfare of project harmony and the advancement of its purpose. Transactions with parties with whom a conflicting interest exists are only undertaken if all of the following are observed: 1. The conflicting interest is fully disclosed; 2. The person with the conflict of interest is excluded from the discussion and approval of the transaction (unless we decide as per language on page one to allow participation in the discussion phase of the transaction); 3. A competitive bid or comparable valuation exists as required by standard auditing practices; 4. The board has determined that the transaction is in the best interest of the organization.

The compensation of the executive director is established by the board using comparable data and once a yearly evaluation has been completed. The compensation review process is documented in the executive director's personnel file. The last compensation review took place in july 2021.

FORM 990 PART X, LINE 24:

On april 20, 2020, the organizations received loan proceeds in the amount of $168,245 under the paycheck protection program (ppp). Under the coronavirus aid, relief, and economic security act (cares act), the promissory note must be used for certain expenditures within a 24-week period to ultimately be forgiven by the small business administration. During the year ended june 30, 2020, the organizations expended and tracked the ppp funds for purposes outlined in the cares act guidance and believes they have met a portion of the conditions set forth for full forgiveness. Accordingly, under guidance found in fasb asc 958-605, the organizations have recognized a portion of the ppp funding as a conditional grant by which all conditions have been met. The organizations received forgiveness by the sba on february 23, 2021. The remaining $96,656 of grant income is included in other revenue on the accompanying consolidated statement of activities and change in net assets. On march 10, 2021, the organizations received loan proceeds in the amount of $164,675 under the paycheck protection program (ppp). Under the coronavirus aid, relief, and economic security act (cares act), the promissory note must be used for certain expenditures within a 24-week period to ultimately be forgiven by the small business administration. During the year ended june 30, 2021, the organizations expended and tracked the ppp funds for purposes outlined in the cares act guidance and believes they have met a portion of the conditions set forth for full forgiveness.
