“The association has three levels of membership consisting of: (1) regular members - individuals who serve as executive or managerial capacity for asurgical specialty which is recognized by the american college of surgeonsand where the surgeons are faculty of an accredited medical school; (2)affiliate members - individuals having an interest in promoting thepurpose of the association ; and, (3) honorary memebers - reserved for individuals whose contribution to the field of professional surgical administration, service and devotion to the purpose of the association exemplifies superior individual efforts and leadership and may be conferred by the board of directors of the association to former regular or affiliate members. Only regular members are entitled to vote. Each regular member, in good standing, is entitled to vote on each matter submitted to a vote of the members. Upon dissolution of the corporation, all assets in whatever form, after payment of all legal debts and obligations of the corporation, will be distributed on the basis of equal shares to the tax- exempt organizations whose members comprise regular membership, in good standing, of the corporation at the time of dissolution.”

“A copy of the form 990 is provided to all board members for review and comment before the return is finalized. A draft is emailed to each board member along with a request for comments by a certain date.”

“Governing documents, conflict of interest policy and financial statements are available to the public upon request by emailing the treasurer.”
