Form 990 is provided to and reviewed by the organization's audit & finance committee and subsequently is presented to the board of directors at their monthly meeting before it is filed.

Form 990, Part VI, Section B, Line 12C

Each employee, director, officer and committee member receives a copy of the conflict of interest policy annually. This policy is established to protect the interests of the organization and ensure that each of its directors, committee members, officers and employees are aware of their fiduciary duty to the mdsc, and that they shall not use their positions for personal benefits. The policy is meant to supplement state and federal laws governing non-profit organizations. Each employee, director, officer and committee member must sign a statement that he/she agrees to comply with the policy. If the board or duly constituted committee has reasonable cause to believe a person has failed to disclose actual or possible conflicts of interest, it shall inform the person of such alleged failure to disclose and take appropriate disciplinary and corrective action. The board conducts periodic reviews to ensure compliance with the policy.

Personnel committee researches comparability data to review and recommends compensation for the executive director. Contemporaneous minutes are kept at the committee meeting regarding the deliberation and decision. This process was last undertaken in july 2024.

Financial Statement Notes

PART V, LINE 4:

The organization's endowment consists of individual donor-restricted funds established in 2022 for the your next star program and in 2025 for the center on down syndrome and aging. As required by u.s. Gaap, net assets associated with endowment funds, including funds designated by the board to function as endowments, are classified and reported based on the existence or absence of donor-imposed or legal restrictions. Endowment funds include invested gifts and cash awaiting investment. As required by u.s. Gaap, the organization classifies as donor restricted net assets (a) the original value of gifts donated to the permanent endowment, (b) the original value of subsequent gifts to the permanent endowment, and (c) accumulations to the permanent endowment made in accordance with the direction of the applicable donor gift instrument at the time the accumulation is added to the fund. The remaining portion of the donor-restricted endowment fund that is not classified as non-expendable net assets is classified as expendable net assets until those amounts are appropriated for expenditure by the organization in a manner consistent with the standard of prudence prescribed by state law. In accordance with the uniform prudent management of institutional funds act, the organization may consider the following factors in making a determination to appropriate or accumulate donor-restricted endowment funds: the duration and preservation of the fund; the purposes of the organization and the donor-restricted endowment fund; general economic conditions; the possible effect of inflation and deflation; the expected total return from income and the appreciation of investments; other resources of the organization; and the investment policies of the organization. The organization has adopted investment and spending policies for its endowment assets that attempt to provide a predictable stream of funding for its programs while seeking to maintain the purchasing power of the endowment assets. Under this policy, as approved by the board, the endowment assets are invested in such a manner that the investments will provide a spendable return consistent with a long-term goal of preserving the funds in real terms. Actual returns in any given year may vary from this amount. The organization has a policy of appropriating for distribution each year up to 5% of the endowment fund's average fair value over the prior three years preceding the year in which the distribution is planned. When the fund does not have three years of history, the appropriation calculation is based on the endowment fund's average fair value over the available years. In 2025, appropriations of up to $122,000 were approved by the board. Unspent funds previously approved for appropriation are available for spending in future years. In establishing this policy, the organization considered the long-term expected return on its endowment. This is consistent with the organization's objective to maintain the purchasing power of its endowment. From time to time, the fair value of assets associated with individual donor-restricted endowment funds may fall below the level that the donor imposed restrictions require the organization to retain as a fund of perpetual duration. The organization may appropriate for expenditure from these underwater endowment funds in accordance with the prudent measures prescribed by state law. There were no such underwater funds as of june 30, 2025.

Management annually reviews for uncertain tax positions along with any related interest and penalties and believes that the organization has no uncertain tax positions that would have a material adverse effect, individually or in the aggregate, upon the organization's statements of financial position, or the related statements of activities, or cash flows.
