The 2020 Form 990 was electronically distributed to all Board members through the agency online portal prior to submittal. The Finance Committee consists of Board members who are responsible for the oversight of all audit, tax and financial matters of the company. Board members are invited to inquire to the CFO with any questions related to the tax filings.

Form 990, Part VI, Section B, Line 12C

Officers and members of the Board of Directors are required to sign conflict of interest statements annually. It is considered the responsibility of the individual to come forward with any items they feel may be considered a conflict of interest. In situations where a conflict is deemed to exist, members must remove themselves from deliberation and decisions regarding the entity.

The process for determining the compensation for the organization's CEO includes the review and approval of the Executive Evaluation Committee (select members of the Board of Directors) who review the CEO, compare salary to Home Care Alliance statistics and other accumulated data, for similarly qualified persons holding similar positions, and vote on salary adjustments annually. The process for determining the compensation for the officers and key employees of the organization includes the use of comparability surveys for similarly qualified persons, and approved by the Board of Directors.
