All Directors, Officers, and committee members with governing board delegated powers are considered interested persons and converted under Tolentine's conflict of interest policy. an inerested person has the duty to disclose the existence of an actual or possible conflict of interest when members of the committees with governing board delegated power are considering a proposed transaction or arrangement. after the actual or potental conflict of interest has been disclosed, that individual shall then leave the governing board of committee meeting while the determinationof a conflict is discussing and voted upon. When a conflict of interest does exist, the governing board will either, vote on the transaction/arrangement without the member with the conflict of interest or appoint a disinterested member to investigate alternative proposals. The board will take appropriate disciplinary and corrective action if it has been determined that an interested person had failed to disclose a conflict of interest.

When a conflict of interest does exist, the governing board will either, vote on the transaction/arrangement without the member with the conflict of interest or appoint a disinterested member to investigate alternative proposals. The board will take appropriate disciplinary and corrective action if it has been determined that an interested person had failed to disclose a conflict of interest.
