Members of the center for hope auxiliary have the power to elect a member representing the auxiliary to the board of trustees.

Form 990, Part VI, Section B, Line 11B

Center for hope hospice, inc. Has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. After the return has been prepared, it is provided to management and finance committee for review and comments. All trustees receive a copy of the form 990 prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

A conflict of interest is defined as any contractual, employment, or personal relationship with a vendor, supplier, consultant, member of senior management, or any other third parties engaged or seeking to engage in financial/business dealings with the center. Failure to abide by the provisions of this policy may constitute grounds for disciplinary action and/or dismissal. Upon assumption of responsibilities and annually thereafter, all trustees as well as all employees who are either in a decision making position or who have purchasing or contracting authority, shall be given a copy of this conflict of interest policy and of the disclosure statement in the form annexed. Should the head of human resources determine that any such conflicts need to be disclosed to a higher authority, then he/she shall report same to the chief operating officer or president. All individuals required to submit a confidentiality and conflict of interest disclosure statement shall have a continuing responsibility to make such additional disclosures, in writing, promptly after any such changed circumstances or new facts arise which may create a conflict of interest. Questionable situations shall always be resolved in favor of disclosure.

Form 990, Part VI, Section B, Line 15

Compensation for the president and the coo is managed by the governance committee of the board of trustees and approved by the full board on an annual basis. The governance committee members review the accomplished goals of the "c-suite" executives with the president, review comparable organizations' executive compensation (eg. Via 990's), and recommend any increase in salaries and any bonus amounts to the full board. The governance committee consists of the chairman of the board, the president (who is excused for executive session of the committee and board); the chairman of the board appoints additional trustee members, center for hope hospice, inc. 22-2444824 including 1 to serve as chair of the governance committee. The functions of the governance committee are defined in section 4 of the center's bylaws.

The center operates as a tax-exempt organization under section 501(c)(3) of the internal revenue code (the "code"). Accordingly, the center is not required to pay income taxes. The center is still subject to tax on income unrelated to its exempt purpose unless that income is otherwise excluded by the code. The center has processes in place to ensure the maintenance of their tax-exempt status, and to identify and evaluate other matters that may be considered tax positions. The center has determined that there are no material uncertain tax positions that require recognition or disclosure in the financial statements.
