The operating decisions made by the governing body (board of trustees) are done so by a majority vote of the trustees and cannot be overridden. However, any bylaw changes or new trustee appointments require a majority vote of all members, if personally in attendance at the meeting or 100% written approval.

Before the form 990 was filed with the irs, all of the following reviews took place: the prepared form 990 was reviewed by the facility controller, facility chief financial officer, and facility corporate compliance officer, in consultation with facility administrative staff members, facility executive management and advisors to the organization. The prepared form 990 was reviewed by the finance committee of the facility board of trustees and was made available to all current voting members of the facility board prior to filing.

The organization's conflict of interest policy requires written disclosures by all trustees, officers, key employees and other management or supervisory employees who are in a position to influence decision-making for the organization. Such individuals are required to disclose actual and potential conflicts of interest upon initial affiliation with the organization, on an annual basis, and whenever reportable interests arise. The compliance officer, in collaboration with the president and/or the board chairman, reviews written disclosures, obtains further information as needed, and evaluates actual and potential conflicts. As warranted, the president and/or board chairman implements measures to ensure that decisions relating to the organization are made solely on the basis of the best interests of the organization and in furtherance of the organization's exempt purposes. Any trustee who has a duality of interest or a potential conflict of interest as a matter coming before the board is prohibited from voting or using personal influence as to board action on such matter.

Compensation for st. Camillus foundation staff is based on the compensation policies of st. Camillus health and rehabiliation center, which include an annual performance evaluation upon which salary increases are based.

Form 990, Part VI, Section C, Line 19

St. Camillus foundation makes governing documents, conflict of interest statements and financial statements available to members of the public upon written or verbal request. In addition, fundraising solicitations carry the following statement: "a copy of st. Camillus foundation's most recent annual charities registration filing may be obtained from the st. Camillus foundation or from the nys attorney general's charities bureau, attn: foil officer, 120 broadway, ny, ny."

The organization was terminated december 16,2013 and the assets and liabilities were contributed to st. Camillus health and rehabilitation center.

FORM 990, PART XII, LINE 2C:

Historically, the foundation had a finance committee, comprised of foundation trustees, that met bimonthly to discuss financial matters of the foundation. After the resignation of the foundation president in 02/2012, an ad hoc committee was formed to consider the future of the foundation and make recommendations to the st. Camillus/integrity and foundation boards. The ad hoc committee met monthly thereafter and recommended that the foundation be dissolved and its assets transferred to the facility. In october 2012, the facility's board accepted the recommendations and voted to amend the by laws of the facility for the purpose of expanding the number of trustees so as to include a number of foundation's board and creating a new fund development committee to oversee fundraising activities. On november 30, 2013, all assets and liabilities of the st. Camillus foundation were transferred to st. Camillus rhcf in anticipation of formal dissolution of the foundation. On december 16, 2013, the certificate of dissolution was accepted by nys and filed.
