“The association is organized as a nonprofit corporation. Membership in the corporation consists of four classes: active members, associate members,honorary members, and life members. The rights and limitations of the different classes are provided in the by-laws. All four classes enjoy membership privileges but only active and life members are entitled to vote and hold office in the association. No members are entitled to a share of the organization's profits or excess dues or a share of the organization's net assets upon the organization's dissolution.”

“The association is governed by a board of trustees who are elected each november by the general membership.”

“After the form 990 is prepared by an independent cpa firm, a draft of the return is given to the executive director. The executive director distributes the draft to the board of trustees for review and comment prior to filing of the return.”

“The association board of trustees meet regularly at which time any potential conflict of interest is discussed. The determination of the existence of such a conflict of interest is made by a majority vote of the board of trustees. The member with the possible conflict does not participate in the vote.”

“The compensation and benefits of the organization's top management official, the executive director, are determined by the board of trustees. The board annually conducts a performance review of the top management official and evaluates economic conditions and the current wages when determining annual increases. The board also reviews and approves recommendations of wage increases submitted by the top management official for all other employees of the organization. Other than the executive director, the organization has no other paid officers or key employees.”

“The association makes its governing documents, conflict of interest policy and financial statements available to the public upon request.”
