“During 2024, the organization development network, inc. (od network) had a management agreement with an organization for which it provided general management and administration of the day-to-day operation. Additionally, the organization provided program, membership, conference administration, bookkeeping services, operational facilities, and staffing. The management agreement requires monthly payments of $25,000 from october 1, 2023 through december 31, 2024. The agreement also mandates the payment of specified variable fees, reimbursable costs and sales incentive fee commissions.”

“Organization development network, inc. Has a board of trustees who are elected by its members when openings occur on a cycle of staggered terms. When an opening is imminent, an election process is conducted that includes: 1) potential candidates soliciting support from 20 current organization members to place their names on the ballot, 2) an announcement about the election is made in our monthly newsletter and through a targeted e-blast, and 3) a voting process managed primarily electronically, with mail-in ballots only to members without electronic access. The announcement and voting process typically is completed within a 60 day period.”

“Except as otherwise provided in the certificate of incorporation, the by-laws may be amended, repealed or adopted by vote of a majority of the organization's members in good standing at the time of the vote. By-laws may also be amended by affirmative vote of two-thirds (2/3) of the entire board. Any such action taken by the board may be reversed by a vote of a majority of the organization's members in good standing. Whenever the board amends, repeals or adopts any by-laws, a concise summary of the changes made shall be published in a regular mailing to members or in a letter addressed to all members in good standing.”

“The organization formally sends a conflict questionnaire annually to board members and employees. The questionnaire is reviewed and any reported potential conflicts are investigated. The organization has an appointed person that regularly involves initiation, review or approval of significant contract or other commitments. If the chair receives information about a possible conflict of interest, the chair should take necessary action to assure that the transaction is completed in the best interest of the organization without the substantive involvement of the person who has the possible conflict of interest.
