“The organization has two catergories of membership, regional plus and regional only. Regional plus: includes membership in both plant wny ("association") and wny nurserymen's association foundation, inc ("foundation"). The two types of regional plus members are as follows: members - individuals, partnerships, firms or corporations actively engaged in the wholesale and/or retail business who shall have a reputation for trustworthy dealing, which must be maintained as a condition of membership, may become active members of the association. Each individual firm shall be eligible for one membership and no more than one assessment for dues, nor shall it, in any case, have the privilege of more than one vote. For purposes of determining eligibility for membership, the "nursery business" shall include individuals and firms that provide, manufacture and/or distribute agricultural, horticultural, and allied materials, tools, supplies and services connected with and essential to landscaping and outdoor living. It shall include such business activities as the installation and servicing of landscaped areas. Members shall agree to pay all dues of the association. Educational membership - government agencies or schools who have interest in the association and the foundation and wish to keep informed of activities may become education members. Members shall agree to pay all dues of the association. Regional only members - special membership for honorary and education members in the western new york area. The two types of regional only members are as follows: honorary membership - individuals who, having done some outstanding service in the field of horticultural or in the interest of the nurserymen/landscape contractors in the state and are deemed worthy of this may be awarded honorary life membership by a majority vote of the plant wny board of directors. Educational membership - government agencies or schools who have interest in plant wny and wish to keep informed of activities may become educational members. Such members shall not be eligible for membership on the board of directors and shall have no voting privileges. Any applicable dues are paid directly to region.”

“The members of the association vote on the election of one or more members of the governing body.”

“The membership of the association votes on the budget of the association and all major financial matters.”

“A copy of the form 990 was provided to the board of directors before it was filed and was discussed with the board of directors.”

“Any executive board member who has a potential conflict of interest with serving on the board or acting in a certain capacity as a board member is obligated to alert the full board regarding such conflict, and to remove himself/herself from such activity, or if necessary the position on the board that has created the conflict. Policies are to be reviewed one time a year or handled as soon as a conflict comes up.”

“The executive secretary is the only officer who is compensated. The governing body, not including the secretary, reviews and approves the current year's compensation. The board uses data as to comparable compensation for similarly qualified persons in functionally comparable positions at similarly situated organizations. The board also uses contemporaneous documentation and recordkeeping with respect to deliberations and decisions regarding the compensation arrangement.”

“Upon request, the organization makes it governing documents, conflice of interest policy, and financial statements available to the public.”

“The board of directors, along with the executive secretary, are responsible for selection of the independent auditors and oversight over the financial statements.”
