The orchestra fund has an endowment spending policy whereby a percentage of the average market value of the orchestra fund's investment portfolio at the end of the previous five fiscal years, including accruals, adjusted for contributions and unusual expenditures during the averaged years, is contributed to the orchestra as a reliable source of annual support. Additional amounts, even substantial, can be distributed in response to the orchestra's showing of important need.”

DURING FISCAL YEAR 2024, THE FUND DISTRIBUTED CASH IN THE AMOUNT OF $615,300, SUPPLYING APPROXIMATELY 4% OF TOTAL OPERATING SUPPORT AND REVENUE IN THE ORCHESTRA'S CURRENT FISCAL YEAR. IN ADDITION TO THAT, THE FUND, AT THE REQUEST OF THE ORCHESTRA, HAS GUARANTEED UP TO $500,000 OF THE ORCHESTRA'S OUTSTANDING BANK INDEBTEDNESS. WITHOUT THIS GUARANTEE, THE ORCHESTRA WOULD NOT HAVE BEEN ABLE TO SECURE THE NEEDED SOURCE OF OPERATING CASH. IN ADDITION TO CASH DISTRIBUTIONS, UNDERTAKING A LARGE GUARANTEE IS A POWERFUL DEMONSTRATION OF HOW THE ORCHESTRA COUNTS ON THE FUND FOR CRITICAL SUPPORT FOR ITS EXISTENCE AND HOW THE FUND HAS RESPONDED TO THE NEEDS AND DEMANDS OF THE ORCHESTRA. IN MAY 2021, THE FUND RECEIVED APPROVAL FROM THE BANK TO REDUCE THE COLLATERAL SECURING THE GUARANTEE TO $125,000. THE ORCHESTRA'S BOARD OF DIRECTORS IS ENTITLED TO ELECT FIVE MEMBERS OF THE FUND'S BOARD OF TRUSTEES (OUT OF 14 TOTAL AT FISCAL YEAR-END). IT IS THE ORCHESTRA BOARD'S HABIT, OF MANY YEARS STANDING, TO FILL THREE OF THESE SEATS WITH ITS OWN BOARD CHAIR, BOARD TREASURER AND PRESIDENT/CEO, EX-OFFICIO, AND A FOURTH SEAT AT LARGE BY ONE OF ITS CURRENT OR FORMER BOARD MEMBERS. ALSO FOR MANY YEARS, IT HAS ELECTED TO THE FIFTH SEAT THE PERSON WHO IS THE INCUMBANT BOARD CHAIR OF THE FUND (WHO WAS A PRIOR ORCHESTRA BOARD CHAIR). THESE ORCHESTRA PARTICIPANTS ATTEND ALL FUND BOARD MEETINGS AND ARE APPROPRIATELY ACTIVE IN FUND AFFAIRS. ABOUT A THIRD OF EACH FUND BOARD MEETING IS DEVOTED TO RECEIVING A REPORT ON THE OPERATIONS AND FINANCIAL STATE OF THE ORCHESTRA, PRESENTED BY THE ORCHESTRA CHAIR, PRESIDENT, OR BOTH. THUS, WITH ITS OWN ELECTED FUND BOARD MEMBERS CONSTITUTING A MAJORITY OF A QUORUM, CHAIRING THE BOARD AND EXECUTIVE COMMITTEE MEETINGS, AND SERVING ON KEY COMMITTEES, IT IS CLEAR THAT THE ORCHESTRA HAS A "SIGNIFICANT VOICE IN INVESTMENT POLICIES AND IN DIRECTING USE OF THE ORGANIZATION'S INCOME OR ASSETS AT ALL TIMES DURING THE TAX YEAR." SINCE THE FOUNDING OF THE FUND IN 1976, THE FUND AND ORCHESTRA BOARDS AND MANAGERS HAVE HAD A CLOSE AND CONTINUOUS WORKING RELATIONSHIP. THE ORCHESTRA PROVIDES BACK-OFFICE SERVICES TO THE FUND, MAINTAINS ITS OFFICIAL RECORDS, AND IS ITS ADDRESS OF PRINCIPAL OFFICE. WHEN THE ORCHESTRA RAISES CAPITAL FUNDS, ITS DEVELOPMENT DEPARTMENT ORGANIZES THE SOLICITATION BUT DONORS ARE GIVEN A CHOICE BETWEEN PLACING THEIR GIFTS WITH EITHER THE FUND OR WITH THE ORCHESTRA.
