“The form 990 has been reviewed by mangement before it is sent electronically to each board director and members of the audit committee. The audit committee recommends to the full board and the full board votes to accept the form 990 prior to its submission to the irs.”
“The conflict of interest policy is applicable to all board members and officers ("interested persons") of the organization. An interested person must disclose the existence of the financial interest, or other personal interest that may give rise to a conflict of interest to the committee, and be given the opportunity to disclose all material facts to the members of the committee. The committee shall report all disclosures made hereunder to the board. Prior to a person's election and annually thereafter, each director shall sign a statement: (1) whereby such person identifies, to the best of such person's knowledge, any entity of which such person is an officer, director, trustee, member, owner, or employee and with which the foundation has a relationship, and any transaction in which the foundation is a participant and in which the person might have a conflicting interest, and (2) which affirms such person: a. Has received a copy of the conflicts of interest policy, b. Has read and understands the policy, c. Has agreed to comply with the policy, and d. Understands the foundation is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. The secretary of the foundation will collect the conflict of interest disclosure statements and will provide a copy of the completed conflict disclosure statement to the chair of the committee. After disclosure of an interested person's financial interest or other personal interest and all material facts, and after any discussion with the interested person, the committee shall determine if a conflict of interest exists in accordance with the following: a. An interested person may make a presentation regarding the arrangement or transaction involving the possible conflict of interest to the committee meeting. An interested person is prohibited from attempting to improperly influence any committee deliberation or voting related to the transaction or arrangement involving the possible conflict of interest. The interested person must leave the meeting during the discussion of, and the vote on, any such transaction or arrangement. B. After exercising due diligence, the committee shall determine by a majority vote of the disinterested members whether a conflict of interest exists and whether the transaction or arrangement involving a possible conflict of interest is in the foundation's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall report to the board its determination regarding the existence of a conflict of interest and shall make a recommendation as to whether the board should approve the transaction on arrangement; provided that if the transaction or arrangement involving a possible conflict of interest constitutes a related party transaction then it must be approved. Any covered personnel with any interest in a related party transaction shall make a good faith disclosure of all material facts related to such interest to the committee. The committee shall review all the material facts related to the proposed related party transaction and request any additional information that it deems necessary to complete such review. The committee shall first review the proposed related party transaction to determine whether the related party's financial interest in the transaction or arrangement is substantial (which shall be determined in accordance with any guidance issued by the office of the new york state attorney general). If the committee determines that the related party's financial interest in the proposed related party transaction is not substantial, then the committee shall share its finding with the board which may approve the proposed related party transaction if it determines that the transaction is fair, reasonable and in the best interests of the foundation. “The foundation recognizes the effects of income tax positions only if those positions are more likely than not to be sustained. Management has determined that the foundation has no uncertain tax positions that would require financial statement recognition and/or disclosure. The foundation is exempt from federal income taxes under section 501(c)(3) of the internal revenue code and has been classified by the internal revenue service as an organization that is not a private foundation as defined under section 509(a)(1) of the internal revenue code. “Public exhibitions: throughout the year, the dorsky museum presents temporary, thematic exhibitions that address a wide variety of topics, both historic and contemporary. These exhibitions, which are curated by staff or guest curators, are drawn from outside lenders as well as from the museum's permanent collection of roughly 9,000 objects. The goal of these exhibitions is to present art objects in new and unique ways in order to encourage visitors to make multiple visits throughout the year and to contribute to a new scholarship in the museum field. Scholarly research: the museum encourages visitors to use the permanent collection for scholarly research by taking advantage of the permanent collection database which allows anyone to survey the collection for any reason. University faculty are also encouraged to use the permanent collection as a tool in their teaching by working with museum staff to select appropriate pieces which can then be put on temporary display in the museum for class visits and assignments. Preservation for future generations: the museum follows the american alliance of museum guidelines for the care and preservation of its permanent collection. This collection is stored in a temperature and humidity-controlled environment and is periodically reviewed by staff to pinpoint conservation issues. The permanent collection at the dorsky museum consists of over 9,000 objects and is very encyclopedic in nature. The collection can be divided into the following major categories: the world collection: this collection includes outstanding examples of both two- and three-dimensional objects from diverse cultures, dating from classical to modern times. Areas of strength include objects from ancient egypt and the greek and roman world, pre-columbian artifacts; asian prints spanning the 17th to 19th centuries, traditional african sculpture and masks, australian aboriginal bark paintings, and pacific island artifacts from the early 20th century. Paintings: this collection ranges from 17th to 21st century american, european, and asian works, with a special emphasis on paintings by artists from the hudson valley region. In keeping with the regional emphasis of our mission and programming, the museum has a special interest in collecting, exhibiting and interpreting the work of artists associated with the hudson river school and the woodstock colony for the arts. Our exhibition, research and interpretive programs extend to the fertile contemporary art scene in the region as well. The museum is deeply committed to bringing a complementary critical focus to the work of the modern and contemporary artists who have called the hudson valley home. Photography: in 1983, the museum made a long-range commitment to building a comprehensive collection of 19th, 20th and 21st century photographs. This collection includes almost 4,000 photographs, daguerreotypes, ambrotypes, and tintypes. The museum continues to receive donations of historic and modern photographs from a number of important photography collectors each year. It is through these ongoing donations that the museum is able to offer the public a vast collection of photographic images which represent all the different movements in this medium as well as works by very famous artists. Works on paper: works on paper make up the museum's single largest core collection. The collection was established in 1957 with a bequest of more than 150 american prints from the estate of edward coykendall. Many of the prints are by artists from the hudson valley and catskill regions. The coykendall collection laid the foundation for, and stimulated the museum's interest in, formally addressing the cultural heritage of the region. This focus complements a more comprehensive teaching collection ranging from the 15th through the 21st century that is international in scope, with a strong emphasis on modern and contemporary american and european posters and drawings representing the major art movements”

DURING THE 2024-2025 ACADEMIC YEAR, TWELVE STUDENTS WERE OFFERED SCHOLARSHIP FUNDS GRANTED THROUGH A DONATION BY THE COMMUNITY FOUNDATION OF THE HUDSON VALLEY. WITH SUPPORT RANGING FROM $1,000-$4,000, STUDENTS WERE ISSUED A STIPEND THAT WOULD ENABLE THEM TO TAKE PART IN A NINE-CREDIT COURSE AND ASSIST WITH TUITION, HOUSING, AND COMMUTER EXPENSES WHILE TAKING PART IN THE DIG.SCHOLARSHIPS SUPPORTED ELEVEN STUDENTS TRAVELING TO USITT FOR THEATER PROFESSIONAL DEVELOPMENT. TWENTY-FOUR STUDENTS WERE PROVIDED GRANTS FOR BOOKS AS PART OF THE AC2 PROGRAM.SEVEN STUDENTS ATTENDED THE AMERICAN MARKETING ASSOCIATION PROGRAM IN NEW ORLEANS WHERE THEY PARTICIPATED IN WORKSHOPS AND COMPETITION WITH OTHER COLLEGIATE INSTITUTIONS.LASTLY EIGHT SUNY NEW PALTZ STUDENTS TRAVELED TO NEW PORT RICHEY, FLORIDA, DURING THE 2024-25 WINTER INTERCESSION TO PROVIDE ON-THE-GROUND SUPPORT TO A CITY THAT IS STILL RECOVERING FROM THE DEVASTATING HURRICANE MILTON, THE SECOND-MOST INTENSE STORM TO HIT FLORIDA'S GULF COAST. THEY TRAVELED WITH ASSISTANCE FROM THE ANTHONY BRIGANDI SCHOLARSHIP FUND.THE FOUNDATION ALSO DONATED $92,282 EQUIPMENT AND ACCESSORIES TO THE SUNY NEW PALTZ TO BE USED BY VARIOUS SCHOOLS WITHIN THE UNIVERSITY AND WILL ALLOW STUDENTS TO ACCESS TO TOP OF THE LINE EQUIPMENT TO ENHANCE THEIR LEARNING AND HANDS ON EXPERIENCES. THE EQUIPMENT INCLUDED A YAMAHA GRAND PIANO, MULTIPLE CAMERAS, LENS, AUDIO EQUIPMENT, COMPUTERS, ETC. |
