Governance Explanations

The organization has members. Membership shall be open to persons or organizations who endorse, support or aid the purposes of the organization.

Form 990, Part VI, Section A, Line 7A

Members shall be allowed to vote for directors and officers either in person at the annual meeting or by written proxy delivered to the arc's administrative offices on or before the date of the meeting.

The organization's annual 990 shall be reviewed by the executive and audit committees of the board of directors. With their recommendation, the 990 will be distributed to the board of directors for their approval, and will be made available on the arc website and sent to the internal revenue service.

In the beginning of each year, the organization has a board of directors meeting in which all board directors are required to complete a form disclosing any conflicts of interest. Forms are then reviewed by management in which disclosed conflicts of interest are addressed accordingly.

The ceo is evaluated annually. At the end of each fiscal year, the board chair initiates the process of evaluation by asking the ceo for a written review of the year, requesting input from the board members about the ceo's performance and reviewing relevant salary survey information, which they obtain from the national non-profit board associations. The ceo is typically evaluated against the strategic plan approved for the fiscal year being reviewed. In some years personal goals are also established by the ceo and if such goals have been established, they too are part of the evaluation process. The ceo and the board chair meet about the written evaluation and board feedback. The review is discussed with the board in closed session and the results along with any salary and/or benefit change recommendations are approved. Any approved salary changes are submitted by the board chair to the cfo for processing. Top management is evaluated annually by the ceo. The ceo and the board chair meet to discuss top management performance. Accordingly, there is no provision for income taxes. The arc of atlantic county, inc. And affiliates are required to file form 990, return of organization exempt from income tax, with the internal revenue service and the new jersey charities registration & investigation form (cri). The income tax returns are subject to review and examination by federal and state authorities. The organization is not aware of any activities that would jeopardize its tax-exempt status or any activities that are subject to tax on unrelated business income taxes
