Governance Explanations

Form 990, Part VI, Section A, Line 5

In march of 2024, the center discovered that a former employee had diverted cash and other assets from the center. Cash from outstanding customer receivables were deposited into bank accounts the individual opened surreptitiously. The individual was the sole signer of the account. The total amount of assets diverted from the center was approximately $3.1 million consisting of a vehicle purchased by the center as well as $2.8 million in cash receipts which were deposited into the bank accounts. The accounts were closed in march 2024 and the balance remaining of $808,931 was recovered by the center. The center also received repayment of $490,000 directly from the former employee. The center expects to recover the remaining balance of diverted funds through restitution and insurance coverages. The state of new jersey attorney general's office is overseeing the ongoing investigation.

The organization requires each board member and key employee to complete an annual certification of ethical conduct, conflict of interest and compensation policies. The certification form requires the board members and key employees to indicate if they have any conflicts or have any interest that may give rise to a conflict.

Form 990, Part VI, Section B, Line 15

A compensation survey analysis is prepared by the human resource director in years for which salary adjustments are considered, which compares compensation paid by the organization to the compensation data obtained from surveys for other organizations. Each department head will then submit recommended percentage increases to the human resource director who will then present those recommendations and surveys to the executive director. The personnel committee will then review and discuss the recommendations along with the compensation survey for salary adjustments and then forward to the board for review and approval. The board will then review all appropriate information and will pass on or approve salary increases.

PART II, LINE 5:

The center works with the burlington county office of soil conservation, who inspects the property annually. Any issues identified as a result of the inspection are subsequently reported and the center takes the necessary steps to address the issue accordingly.

PART X, LINE 2:

U.s. Gaap requires management to evaluate tax positions taken by the center and recognize a tax liability if the center has taken an uncertain position that more likely than not would not be sustained upon examination by taxing authorities. Management evaluated the center's tax positions and concluded that the center had taken no uncertain tax positions that require adjustment to the financial statements to comply with the provisions of this guidance.

FOOT HOME FOR FOUR ADULTS WITH DEVELOPMENTAL DISABILITIES. THE JOHN WEGENER FACILITY, LOCATED IN WILLINGBORO, IS A 2,200 SQ. FOOT HOME FOR FOUR ADULTS WITH DEVELOPMENTAL DISABILITIES.
