Governance Explanations

Form 990, Part VI, Section B, Line 11B

The morris museum, inc. Has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, reviewed by management and is ready to be filed with the internal revenue service, it is provided to the board of trustees for any comments prior to its submission. The board of trustees is provided with a reasonable amount of time to review the form 990. Any comments are then grouped, summarized and provided through management to the outside accounting firm. Any applicable issues are addressed prior to the return being finalized and approved for filing

Form 990, Part VI, Section B, Line 12C

The morris museum currently has in place a conflict of interest policy which it regularly monitors and enforces. The board mandates that the board of trustees annually sign a conflict of interest policy and disclose any potential or actual conflicts that may exist. If a potential or actual conflict of interest exists, the board of trustees will investigate the issue. If a conflict of interest is determined to exist the board of trustees will be notified immediately. The member will not be allowed to vote or be a part of any decisions about any such transactions that have to do with the conflict until such time that there is no longer a conflict

Form 990, Part VI, Section B, Line 15

The compensation of the organizations officers or key employees is reviewed and approved by the board of trustees, an independent body.

Form 990, Part VI, Section C, Line 19

Form 990, Part XII, Line 2C

The oversight and selection process has not changed from the prior year

FORM 990, PART III, LINE 1, DESCRIPTION OF ORGANIZATION MISSION:

Vision: the morris museum is the region's premier engine of curiosity and wonderment. Mission: the morris museum enriches lives with exemplary exhibitions and performances of art, design, and science. (articulated in 2025-2030 strategic plan) in fy25 the morris museum completed a 7-month strategic planning process, yielding a plan to guide the museum's work for fy25-fy30. Through this planning, the museum identified a restated mission of enriching lives through exemplary exhibitions and performances of art, design, and science, in service of a vision to be the region's premier engine of curiosity and wonderment. In doing this we serve 40,000 visitors a year, from northern new jersey and beyond, welcoming visitors from every nj county, 48 u.s. States, and 22 foreign countries in fy25. The morris museum enriches lives with exemplary exhibitions and performances of art, design, and science. The mission is manifest in the following ways: the museum's thoughtfully crafted public offerings center on the visual and performing arts, but expand to celebrate important exemplars of global cultural material and design, and extraordinary specimens of nature. The museum inspires creativity, wonder, and lifelong learning through educational programs that provide audiences of all ages opportunities to engage with visual and performing arts, design, and natural science. The museum collects, stewards, and interprets works of visual art, global cultural material, and natural history specimens of the highest quality. The museum additionally opens its campus for programs, school tours, special events, private events, and activities that support the local community.

Financial Statement Notes

PART X, LINE 2:

The museum is an organization described under section 501(c)(3) of the internal revenue code (the "code") and is therefore exempt from state income taxes under section 501(a) of the code. The museum is also exempt under title 15 of the state of new jersey corporations and associations not for profit act. Accordingly, no provision for federal or state income taxes has been presented in the accompanying financial statements. The museum accounts for uncertain tax provisions under fasb asc 740 income taxes which provides a framework for how entities should recognize, measure, present and disclose uncertain tax positions in their financial statements. The museum may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by the taxing authorities, based on the technical merits of the position. The tax benefits recognized in the financial statements from such position are measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. The museum does not have any uncertain tax positions as of june 30, 2025. As of june 30, 2025, the museum did not record any penalties or interest associated with uncertain tax positions. As required by law, the museum files informational returns with both the united states federal and state of new jersey jurisdictions on an annual basis form 990 with the internal revenue service, and form cri-300r online with the state. These returns are subject to examination by these authorities within certain statutorily defined periods for federal and for the state of new jersey.

PART II, LINE 5:

Written policy requires monitoring of the conservation easement.

PART II, LINE 9:

Morris museum does not report conservation easements in its statement of financial position or statement of activities. The museum has one conservation easement obligation attached to its deed for the property at 6 normandy heights road, township of morris, by two quasi-government authorities that awarded multiple grants to execute phase one of the historic preservation plan for twin oaks, a 1913 residence designed by mckim, mead & white on the site. The easement is non-certified. New jersey historic trust (njht) and the morris county office of planning and preservation (mcopp) administered, by competitive application, a series of awards that enabled phase one. In consideration for that support the morris museum entered into a 30-year easement agreement at the conclusion of that phase in 2024 that obliges the museum to maintain the appearance of the roofline and east facade of twin oaks (and not hinder public access to it) through 2054.

PART III, LINE 1A:

In conformity with the practice followed by many museums, art objects purchased and donated are not included in the statement of financial position.

PART III, LINE 4:

In conformity with the practice followed by many museums, art objects purchased and donated are not included in the statement of financial position. Purchases of collection items are recorded as decreases in net assets without donor restrictions in the year in which the items are acquired or as net assets with donor restrictions if the assets used to purchase the items are restricted by donors. Proceeds from deaccessions or insurance recoveries are reflected as increases in the appropriate net asset classes. The museum collection consists of more than 45000 objects. Individual areas of the museum's distinguished collection include costumes and textiles, fine art, decorative art, dolls and toys, natural science, geology and paleontology, and ethnology. Objects from the collection are presented in permanent and changing exhibitions. In 2003, the museum was awarded the murtogh d. Guinness collection of mechanical musical instruments and automata. The museum holds its collections for public exhibition, education, and research rather than for financial gain. It protects, cares for, preserves, and keeps its collections unencumbered, subject to a policy that requires proceeds from their sales to be used solely for the benefit of the collection and to purchase new objects for the collection.

PART V, LINE 4:

To augment funding for its program services.
