Board of trustees has delegated to the finance committee the responsibility to oversee and coordinate the federal form 990 preparation and filing process for the tax-exempt affiliates of the network. As part of the organization's federal form 990 tax return preparation process the organization hired a professional certified public accounting ("cpa") firm with experience and expertise in both healthcare and not-for-profit tax return preparation to prepare the federal form 990. The cpa firm's tax professionals worked closely with the network's finance personnel, including its senior vice president of finance, vice president of finance, director of accounting and various other network individuals ("internal working group") to obtain the information needed in order to prepare a complete and accurate tax return. Revisions were made to the draft federal form 990 where necessary and a final draft was furnished by the cpa firm to the network's internal working group for final review and approval prior to presentation of the federal form 990 to the members of the st. Luke's health network, inc. Finance committee. Thereafter, the final federal form 990 was provided to each voting member of the organization's governing body prior to filing with the irs.”

("sl-warren") is a joint commission-accredited, not-for-profit, 198-licensed bed acute care hospital located in phillipsburg, warren county, new jersey, providing care primarily to residents of warren and hunterdon counties in new jersey, and the city of easton in northampton county, pennsylvania. Sl-warren annually provides patient care for 5,371 observations and admissions, 101,531 outpatient visits and 27,583 ed visits and is recognized by the irs as an internal revenue code section 501(c) (3) tax-exempt organization. Pursuant to its charitable purposes, sl-warren provides medically necessary health care service to all individuals in a non-discriminatory manner regardless of race, color, creed, sex, national origin or ability to pay. Moreover, sl-warren operates consistently with the following criteria outlined in irs revenue ruling 69-545: 1) sl-warren provides medically necessary health care services to all individuals regardless of ability to pay, including charity care, self-pay, medicare and medicaid patients; 2) sl-warren operates an active emergency room for all persons; which is open 24 hours a day, seven days a week, 365 days per year; 3) sl-warren maintains an open medical staff with privileges available to all qualified physicians; 4) control of sl-warren rests with its board of directors and the board of directors of st. Luke's health network, inc., d.b.a. St. Luke's university health network. Both boards are comprised of a majority of independent civic leaders and other prominent members of the community, as well as physicians on the hospital/network medical staff; and 5) surplus funds are used to improve the quality of patient care, expand and renovate facilities and advance medical care, programs and activities. The operations of sl-warren, as shown through the factors outlined above and other information contained herein, clearly demonstrate that the use and control of sl-warren is for the benefit of the public and that no part of the income or net earnings of the organization inures to the benefit of any private individual nor is any private interest being served other than incidentally. Founded in 1923, sl-warren was acquired by nationally recognized st. Luke's university health network ("network") in 2012. Since that time, st. Luke's has continuously improved the quality of, and access to, care. Sl-warren currently provides patients with access to more than 435 physicians across nearly 60 medical specialties. Sl-warren is certified as a primary stroke center by the new jersey department of health and senior services. The st. Luke's warren campus is part of st. Luke's integrated network cancer program (incp), which is accredited with commendation by the american college of surgeons. Sl-warren offers wound management services, including hyperbaric oxygen therapy (hbot), which is accredited by the undersea and hyperbaric medical society. The hospital received additional payment in the centers for medicare & medicaid services (cms) value-based purchasing program, performing better than peer hospitals in new jersey. Sl-warren continues to participate in the new jersey department of health & seniors services public reporting initiative. Performance improvement teams work to continuously improve the process of care provided to patients suffering a heart attack, patients with pneumonia or health failure and those undergoing surgical procedures. “Community outreach =================== in keeping with its commitment to the communities it services, sl-warren annually reaches more than 10,000 people through its community outreach endeavors. The hospital offers a variety of free screenings and services for community-run events throughout the year. Community outreach includes, but is not limited to, the following: 1) education: utilized numerous media outlets including our hospital lobby to educate the community about diverse health issues that may impact them including: specific healthcare needs of military veterans and guidance for preparing advance directives. Attendance estimated at 100; 2) health fairs: participated in local area events performing various screenings including, but not limited to, heel bone density, nutrition, posture and balance and diabetes education; 3) student athletes: provided free training on identifying and treating concussion to all area high school coaches. Performed baseline impact studies for concussion on school athletes in all area high schools - total athletes tested were more than 600; 4) physician talks: provided two physician talks to the community on orthopedics and joint replacement - total individuals reached is estimated at 90; 5) support groups: sponsored support groups are hosted at sl-warren for diabetes, chronic pain, grief, depression/bipolar, heroin, lgbt support, healthy aging and a caregiver support group - total estimated individuals involved were estimated at 150; 6) health screenings at the hospital: provided monthly blood pressure screenings in the hospital lobby; 7) exercise & fitness: offered free, twice-weekly osteoporosis exercise classes at the fitness & sports performance center; 8) employee health: initiated a community supported agriculture program, making weekly deliveries of locally grown organic vegetables available to employees at discounted prices; 9) community senior nutrition program: served 7,443 discounted senior meals served to local residents. Meal offered at $3.99 per meal for a total subsidy of $29,697.57. The meals are offered monday through friday and often include an educational speaker; 10) emergency services support (ems): continued to partner with our local ems agencies by providing free education sessions, free medical directorships and free medication replacement to all volunteer ems agencies within warren county. In response to the opioid epidemic, warren hospital provided free narcan to local ems along with a free replacement program upon usage or expiration. Additionally, warren hospital supports the warren county prosecutors office by providing free educational and medical oversight by way of our emergency department physician, jack chambers, md. Warren county prosecutors office and local police require annual training on tourniquet and hemostatic agent use, which warren hospital provides at no cost (109 participants over three days); 11) bi-monthly epi-pen training and narcan training: provided to local ems, at their respective sites at no cost; 12) large event for pa and nj paramedics in january: provides educational event at no cost to providers with typical attendance of more than 100. Physicians from warren hospital provide a large amount of content for this event by providing free lectures for ems continuing education; 13) drug take back day: participated in the network drug takeback day where over 41 pounds of prescription drugs were collected in only four hours; and 14) walk with a doc: offered 25 walks. Resident doctors of coventry practice walked with the firth youth center students.
