Form 990, Part VI, Section B, Line 12C

All directors, principal officers, or members of a committee with governing board delegated powers are subject to the conflict of interest policy shall report the possible existence of a conflict of interest to the board of directors. The chairperson of the board or committee shall, if appropriate, appoint a disinterested peson or committee to investigate alternatives to the proposed transaction or arrangement. After conducting due diligence, the board shall determine by a majority vote of the disinterested board members whether the transaction or arrangement in question is in the organization's best interest and for its own benefit and whether the transaction is fair and reasonable to the organization and shall make its decision as to whether to enter into or allow the transaction or arrangement in conformity with such determination and possible actions to be taken. If it is determined that the member is an interesterd person and has failed to disclose an actualy or possible conflict of interest, the board shall take appropriate disciplinary and corrective action. The names of the persons disclosed or otherwise found to have a financial interest in connection with an actual or possible conflict of interest, nature of the financial interest, any action taken to determine its presence, and the board or comittee's concluding decision shall be documented in the minutes of the board. Moreover, names of those present for discussions and votes relating to the transaction or arrangement, content of the discussion, any alternatives, and a record of votes taken shall also be documented in the board minutes.

The organization's board periodically reviews and sets the officers' compensation and defines the policy for all other compensation. Compensation was determined based on performance and economic factors. Periodically the board will examine the compensation of similar positions in the immediate geographic area as well as those throughout the region. Compensation must be approved by two thirds of the members present at the regular meeting. The last review was conducted in december 2024.
