PRIOR TO FILING THE FORM 990 WITH THE IRS, THE FORM IS MADE AVAILABLE TO ALL MEMBERS OF THE BOARD FOR REVIEW AND APPROVAL. The 990 approval process is a formal process designed to educate everyone on the Board about the Chamber, its fiscal and community performance, and the rules, regulations and oversight that guide the Chamber's activities. THE FORM 990 IS FIRST REVIEWED BY THE CHAMBER'S CFO AND ACCOUNTING FIRM PARTNER, FOLLOWED BY THE PRESIDENT/CEO. ANY QUESTIONS RAISED ARE RESEARCHED BY THE CFO. THE FORM 990 IS THEN PRESENTED TO THE FINANCE COMMITEE FOR DISCUSSION AND REVIEW. ONCE APPROVED, THE FORM 990 IS REVIEWED BY THE CHAMBER EXECUTIVE COMMITTEE, FOLLOWED BY THE FULL BOARD AT THE CHAMBER'S BOARD MEETING.

Members can elect other members of the board and the governing body and can approve significant decisions regarding the organization and its management.

Officers compensation below the CEO is evaluated based on written annual goals and objectives agreed to with each officer at the beginning of the year. There is a formal review program every six months with the CEO and each officer to review their performance against their goals. Compensation for officers is based on their achievement or lack of achievement of their annual performance goals and the overall performance of the Chamber. A FORMAL HUMAN RESOURCES EVALUATION GRID WITH A RANGE OF COMPENSATION PERCENT INCREASES IS IN PLACE TO RANK OFFICER AND STAFF PERFORMANCE.

Financial Statement Notes

Fin 48 (asc 740) Footnote

The organization is exempt from income taxes under internal revenue code section 501(c)(6) as a non-profit corporation and, accordingly, the financial statements do not reflect provision for income taxes. The organization previously adopted accounting rules that prescribe when to recognize and how to measure the financial statement effects, if any, of income tax positions taken or expected to be taken on its income tax return. These standards also provide guidance on derecognition of tax benefits, classification on the balance sheet, interest and penalties, accounting in interim periods, disclosure, and transition. The organization has evaluated its uncertain tax positions and related income tax contingencies and feels it is not material to the financial statements. Penalties and interest assessed by income taxing authorities are included in operating expenses, if incurred. The federal and state income tax returns of the organization are subject to examination by the internal revenue service and respective states, generally for three years after they were filed.
