Governance Explanations

Form 990, Page 6, Part VI, Line 7A

The association shall consist of all duly approved members. A board of directors shall be elected by the association from among its voting membership at the annual meeting of the association. The nominating committee organizes a selection of nominees for election to the board of directors. All names nominated for election shall be screened and voted upon by the nominating committee, and a 2/3 majority of the committee will be required to place a person in nomination for the board of directors. The board of directors will then vote on the nomination of the directors to be put in place. The nominating committee shall consist of three board of directors whose terms do not expire in the current year and three members from the association. The three members from the board of directors, including the committee chairman, shall be appointed by the board president and approved by the board of directors. The three members from the association shall be elected at the association meeting preceding the annual board election.

Each voting member present at a meeting shall be entitiled to one vote on each matter submitted to a vote of members at that meeting. The voting members shall have the right to vote on those matters identified in the constitution as needing a vote by the association membership. Proxy votes shall not be permitted. The board of directors reviews and approves all major policy decisions of the governing body and meet on a monthly basis. At least fifty percent, not counting ex-officio members, shall constitute a quorum. Special meetings shall be called by the president or at the request of three (3) members of the board.

The form 990 is prepared by the external independent auditor. Upon preparation, the form 990 is provided to the business manager for review. At the next board meeting, each board of director will review and approve the form 990 prior to filing.

Principles of discipline shall be subject to the vote and approval of the board of directors. Administration of discipline shall be the responsibility of the administration appointed by the board. No pupil shall be expelled except by act of the board of directors, after hearing everyone concerned, and its decision will be final.

The exempt purposes set form in irs section 501(c)(3) are charitable, religious, educational, scientific, literary, testing for public safety, fostering national or international amateur sports competition, and preventing cruelty to children or animals. Cumberland christian school is considered tax exempt under irs 501(c)(3) because the purpose for which the corporation was formed was to establish a private school or schools which will give the youth of the community instruction in all subjects normally taught in public and private schools. Such instructions are in agreement with the fundamental prinicpal that the instruction and education of children in the school, must be in accord with the word of god and that education is primarily the responsibility of the parents to the end that the students may grow in grace and in knowledge of god.

CUMBERLAND CHRISTIAN SCHOOL IS CONSIDERED TAX EXEMPT UNDER IRS 501(C)(3) BECAUSE THE PURPOSE FOR WHICH THE CORPORATION WAS FORMED WAS TO ESTABLISH A PRIVATE SCHOOL OR SCHOOLS WHICH WILL GIVE THE YOUTH OF THE COMMUNITY INSTRUCTION IN ALL SUBJECTS NORMALLY TAUGHT IN PUBLIC AND PRIVATE SCHOOLS. SUCH INSTRUCTIONS ARE IN AGREEMENT WITH THE FUNDAMENTAL PRINICPAL THAT THE INSTRUCTION AND EDUCATION OF CHILDREN IN THE SCHOOL, MUST BE IN ACCORD WITH THE WORD OF GOD AND THAT EDUCATION IS PRIMARILY THE RESPONSIBILITY OF THE PARENTS TO THE END THAT THE STUDENTS MAY GROW IN GRACE AND IN KNOWLEDGE OF GOD.

THE THREE MEMBERS FROM THE BOARD OF DIRECTORS, INCLUDING THE COMMITTEE CHAIRMAN, SHALL BE APPOINTED BY THE BOARD PRESIDENT AND APPROVED BY THE BOARD OF DIRECTORS. THE THREE MEMBERS FROM THE ASSOCIATION SHALL BE ELECTED AT THE ASSOCIATION MEETING PRECEDING THE ANNUAL BOARD ELECTION.
