The board, by resolution adopted by a majority of directors in office, may designate one or more committees consisting of two or more directors, which, to the extent provided in the resolution, may have and exercise the authority of the board in the management of national religious campaign against torture.

Form 990, Part VI, Section A, Line 6

Classes of members or stockholders: there shall be three classes of membership, each with different qualifications and rights. Participating members - participating members are religious organizations that must, in addition to fulfilling the requirements of membership generally, make an annual financial contribution to national religious campaign against torture in an amount deemed appropriate by the organization itself, within guidelines set from time to time by the participating members council (pmc). Each participating member organization shall designate a representative of the organization to act on the member organization's behalf with respect to any matters in which the participating members act. Participating members have voting rights on the pmc. Endorsing members - endorsing members are religious organizations that fulfill the requirements of membership generally. Each endorsing member organization shall designate a representative of the organization to act on the member organization's behalf with respect to national religious campaign against torture activities. Endorsing member representatives have no voting rights. Adjunct members - adjunct members are secular organizations that fulfill the requirements of membership generally. Adjunct members may contribute financially to national religious campaign against torture. Each adjunct member organization shall designate a representative of the organization to act on the member organization's behalf with respect to national religious campaign against torture activities. Adjunct member representatives may be invited to participate in national religious campaign against torture activities, but adjunct member representatives have no voting rights.

Each board member, principal officer, and member of a committee with board-designated powers annually signs a statement which confirms such person has read and understood and agreed to comply with the conflict of interest policy. If an actual or possible conflict of interest arises, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the board or the members of committees considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts and after any discussion with the interested person, he or she shall leave the board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.

THE VAST MAJORITY OF THOSE HELD IN SOLITARY CONFINEMENT IN THE U.S. ARE IN STATE PRISONS AND LOCAL JAILS, AND NRCAT SUPPORTS STATE-LEVEL CAMPAIGNS IN MORE THAN TWENTY STATES.
