“The organization has a conflict of interest policy, the broad purpose of which is to cover transactions that the organization is contemplating which might benefit the private interests of an officer or director of the organization or might result in a possible excess benefit transaction. Pursuant to the terms of the policy, officers and directors are required to disclose interests in transactions that could give rise to a conflict. The organization's board of directors (or a committee thereof) reviews any potential conflict transaction and makes a decision based on whether the transaction is in the best interests of the organization. The interested person is not permitted to be present at, or participate in, the board or committee meeting while the potential conflict transaction is discussed and voted upon. Minutes of the board's or a committee's deliberations and decision are filed in the organization's records.”
