Governance Explanations

Form 990, Part VI, Section B, Line 11

A questionnaire/review checklist accompanies the draft form 990. The checklist highlights key areas to be reviewed and indicates proper corresponding page number in the form 990. After review by senior staff of america's vetdogs, a final draft version of the form 990 will be e-mailed to all board members as well as verbally described to visually impaired board members. The form 990 will be finalized after all questions and concerns are addressed.

Form 990, Part VI, Section B, Line 12C

Form 990, Part VI, Section B, Line 15

The compensation of the ceo and the cfo is reviewed by the compensation committee, and recommendations provided to the executive committee of the board for approval as per the bylaws. Persons with conflict of interest with respect to the compensation arrangement at issue are not involved in this review and approval. The compensation of the ceo and the cfo is reviewed and approved using independent research studies, chosen by the compensation committee. Research studies are based upon current comparable positions at similarly situated organizations. There is contemporaneous documentation and record keeping as to the deliberations and decisions regarding the compensation arrangement. Compensation is incentive/goal based. Goals are prepared in the prior fiscal year, and approved by the compensation committee. The recommendations provided to the executive committee from the compensation committee compares actual performance against the established goals, and is applied to compensation ranges derived from the independent research studies.

Form 990, Part VI, Section C, Line 19

The organization's governing documents, conflict of interest policy, and financial statements are available to the public upon written request.
