Governance Explanations

Part VI, Section B, Line 11B

Form 990 is presented to the Executive Board for review for reasonableness and accuracy. If there are any questions.A tax advisor or the COO CFO is asked to explain. The Initial Overview: Are all the questions answered correctly? The final overview will provide a sense of what the organization is all about and help determine areas of the form that warrant deeper revision before submission. Complete copies after the review will then be provided for the members.

Part VI, Section B, Line 12C

Conflict of interest policy is reviewed and discussed annually. Board members are required to sign an agreement to honor this policy. Example of conflict-of-interest policy: A member of the governing body of X Charity and of Y Charity both of which are section 501c3 public charities with different charitable purposes. X Charity has taken a public stand in opposition to a specific legislative proposal. At an upcoming board meeting Y Charity will consider publicly endorsing the same legislative proposal. While B may have a conflict of interest in this decision the conflict does not involve a material financial interest of B merely due to Y Charitys position on the legislation.

Part VI, Section B, Line 18

Part VI, Section C, Line 19

Yes and most funders and some donors ask and are furnished with such documents.
