A copy of the form 990 is provided to all board members for review and comments/questions are requeted in a designated time frame. The form 990 is then formally reviewed regualarly at a regualarly scheduled board meeting.

Form 990, Page 6, Part VI, Line 12C

Governing documents, conflict of interest policy and financial statements are available for public inspection upon request. All board members upon election and annually thereafter must complete and sign a "conflict of interest disclosure" form provided to them by the board president. Each board member must amend the then current disclosure form upon his/her discovery of a conflict of interest. Such forms are to be submitted to the board president and maintained in the executive office of the corporation. Each board member shall abstain from voting on matters before the board in which he/she has a conflict of interest. While abstaining, the board member may be counted for a quorum and participation the discussions. Member may not make a motion or vote on motions in which they have declared a conflict of interest. Refusal of or fail to comply with this policy shall be a basis for termination of board membership.

Ed/ceo compensation is determined through salary survey data from the national association of community health centers annual wage surevey as well as salary surveys conducted by the oklahoma primary care association. After a salary range is determined through surveys, the board president negotiates a salary with the ceo that is within the predetermined salary range established from national and state health center surveys. The board president then makes a recommendaton to the full board of directors for approval of the ceo contract and compensation. The medical director salary range is determined through the same survey as the executive director salary in addition to mgma natonal physician salary data. The salary is then negotiated by the ed/ceo and approved by the board.
