“The executive committee is appointed by the board to exercise between regularly scheduled board meetings the board's powers and duties except those reserved to the full board pursuant to opencape bylaws. The executive committee shall be comprised of the officers of the corporation and additional members may be added by a vote of the board.”

Acquisitions from a business in which an employee has an interest is prohibited unless full disclosure of the background facts is presented in writing and subsequently approved by the executive director and board of directors. In cases where a potential conflict exists, it is important to handle transactions competitively and at an arm's length, business-like basis. Additionally, individuals may neither seek nor accept - directly or indirectly - payments, loan services, travel, gifts or entertainment with the value of more than $100.00 from any supplier or company with which opencape conducts business. If you are approached by a supplier in an unethical manner, please report the incident to the executive director or the chair of the board of directors. In addition, opencape staff are governed by and must comply with our organization's procurement guidelines and purchasing policy. Those guidelines and that policy detail the procedures needed to ensure purchases meet federal requirements regarding the expenditure of awarded funds. “Compensation review for the executive director includes the following: review and approval by the chairman of the board and with guidance from executive committee which includes the treasurer; the executive director performs employee reviews. No members of the board have a conflict of interest with the executive director; and documentation of the decision making process is maintained.
