Governance Explanations

Form 990, Part VI, Line 7A Members or stockholders electing members of governing body

The Board shall consist of eleven (11) individuals, including the ex officio Director. THE PRESIDENT OF THE COLLEGE OF WILLIAM & MARY (COLLEGE) SHALL BE AN EX OFFICIO DIRECTOR AND SHALL BE ENTITLED TO VOTE. ONE (1) VICE PRESIDENT OF THE COLLEGE SHALL BE APPOINTED AS A DIRECTOR OF THE FOUNDATION BY THE PRESIDENT OF THE COLLEGE, TWO (2) DIRECTORS SHALL BE APPOINTED BY THE BOARD OF VISITORS OF THE COLLEGE, AND TWO (2) DIRECTORS SHALL BE APPOINTED BY THE BOARD OF TRUSTEES OR THE EXECUTIVE COMMITTEE OF THE COLLEGE OF WILLIAM & MARY FOUNDATION (THE "COLLEGE FOUNDATION"). AT THE INITIAL ANNUAL MEETING AND ALTERNATING MEETINGS THEREAFTER, THE BOARD SHALL ELECT FIVE (5) DIRECTORS (THE "PUBLIC DIRECTORS"), WHO SHALL NOT BE MEMBERS OF THE BOARD OF VISITORS OF THE COLLEGE, OFFICIALS OF THE COLLEGE OR MEMBERS OF THE BOARD OF TRUSTEES OF THE COLLEGE FOUNDATION.

Form 990, Part VI, Line 11B Review of form 990 by governing body

An independent accounting firm prepared and reviewed the form 990. The executive director and treasurer review a draft copy of the 990. Upon their approval, the draft is sent to the audit committee for approval for issuance. A copy of the final 990 is provided to the full board prior to submission to the irs.

Management conducts periodic reviews and if need be, uses outside advisors for assistance. Periodic reviews include, but are not limited to assuring that transactions and contract agreements entered into by the foundation conform with written policies and are properly recorded. . If a conflict does exist, the board member is removed from the discussion and/or vote on the transaction.

Form 990, Part VI, Line 15A Process to establish compensation of top management official

The executive director's compensation is determined by the human resources department of the college of william & mary, a related organization, and approved by the foundation's board of directors. The college uses comparable compensation data from other non-profit organizations of equal size, both locally and within the state, when making its determination. Documentation of executive director compensation is maintained within the human resources department of the college of william & mary and was last formally reviewed by the board of dirctors in 2024.
