The 16 dutch housing development fund corp., in accordance with agreements or arrangements with the beneficial owner, engaged tuc management, inc as managing agent of the condominium unit for the purposes of supervising and overseeing day-to-day management, maintenance and upkeep of the condominium unit, as well as sidewalks and outdoor spaces, in fulfillment of its mission to operate and nominally own the herein identified condominium unit consisting of affordable apartments (with one superintendant apartment), collecting rent and other payments due from tenants or occupants of apartments in the said condominium unit, maintaining the premises' physical condition in compliance with all governmental costs and regulations, and providing back office accounting functions and consultative services in connection therewith, in accordance with agreements with the beneficial owner.

16 dutch hdfc currently has in place a conflict of interest policy, having adopted its' members' policy, which applies to all board directors, officers, and key employees. The policy requires all to disclose any possible potential conflict of interest and to annually sign and submit conflict of interest forms to be reviewed by the board and general counsel. Interested persons must also disclose any potential conflicts during a board meeting dealing with any matter over which an interested person might have a conflict of interest. The uninterested board directors then identify, consider and address the potential conflict of interest, and ultimately vote to determine whether the pending transaction or arrangement is in the organization's best interest. The interested person would be excused from participating in the review and vote on that particular matter. The minutes of the meeting of the board shall reflect that the conflict of interest was disclosed and that the interested person was not present during the final discussion or vote and did not vote.
