“The aultman foundation has a single member, aultman health foundation. Aultman health foundation has the right to participate in the aultman foundation's governance and approve significant decisions of the aultman foundation's board of directors.”

The department reconciles the general ledger amounts to the appropriate schedules on the form 990 and compares those amounts to the audited financial statements. In addition, the finance department does a comparative analysis to the prior year return. The analysis and reconciliation schedules along with a complete copy of the 990 are provided to the chief financial officer for review and approval. A complete copy of the 990 is then made available to the board of directors through a secured internet portal prior to the filing date.”

As a result of this policy, all board members, officers, and senior staff complete a form annually disclosing any conflicts of interest they may have. The compliance office reviews these disclosure forms and reports any notable conflicts to the board chairman and other appropriate officers. Tax positions taken are not offset or aggregated with other positions. Tax positions that meet the more-likely-than-not recognition threshold are measured as the largest amount of tax benefit that is more than 50% likely of being realized upon settlement with the applicable taxing authority. The portion of the benefits associated with tax positions taken that exceeds the amount measured as described above is recorded as a liability for unrecognized tax benefits along with any associated interest and penalties that would be payable to the taxing authorities upon examination.”
