“Each member in membership classifications entitled to vote shall have one vote on each matter submitted to a vote by the members.”

“All founding sponsors who maintain their membership in good standing shall be entitled at all times to have and appoint one (1) representative to the board of directors; up to one-half (1/2), but not more than four (4) platinum sponsors shall be entitled to have and appoint one (1) representative to the board of directors for a term expiring at the next annual meeting of the board of directors. Thereafter, at each subsequent annual meeting of the board of directors, platinum sponsors who have not had a representative on the board of directors during the prior term shall be entitled to have and appoint one (1) representative to the board of directors for a term expiring at the next annual meeting of the board of directors. Subject to minor adjustments by the board of directors in order to create two (2) classes of equal size, this rotation shall be based first upon dues paid by the platinum sponsor and then by seniority of membership in the corporation and shall continue so long as the platinum sponsor maintains its membership in good standing. Up to one-third (1/3) but not more than four (4) gold sponsors shall be entitled to have and appoint one (1) representative to the board of directors for a term expiring at the next annual meeting of the board of directors. Commencing at the second annual meeting of the board of directors, up to one-third (1/3) but not more than four (4) gold sponsors who have not had a representative on the board of directors during the prior term shall be entitled to have and appoint one (1) representative to the board of directors for a term expiring at the next annual meeting of the board of directors. Thereafter, at each subsequent annual meeting of the board of directors, gold sponsors who have not had a representative on the board of directors during the prior two terms shall be entitled to have and appoint one (1) representative to the board of directors for a term expiring at the next annual meeting of the board of directors. Subject to minor adjustments by the board of directors in order to create three (3) classes of equal size, this rotation shall be based first upon dues paid by the gold sponsor and then by seniority of membership in the corporation and shall continue so long as the gold sponsor maintains its membership in good standing.”
