“The executive committee consists of all officers, standing committee chairs and such other ad hoc committee chairs or members as the board may from time to time appoint. The executive committee shall be responsible for the administrative affairs of the corporation, prepare policy proposals for the board of directors and undertake such other responsibilities or activities as may be delegated to it by the board of directors. The executive committee shall be subject at all times to the control of the board, which shall have the power to revise or alter any action taken by the executive committee; provided, however, that no rights of third parties shall be affected thereby. The executive committee shall be entitled to employ or contract for the services of paid professional staff of the corporation necessary to conduct the day-to-day activities and affairs of the corporation. The executive committee shall be responsible for preparing an overall annual budget and presenting the budget to the board. The executive committee shall prepare the annual budget in consultation with all committees; however, the final budget proposals to be presented to the board shall be the responsibility of the executive committee. The executive committee shall also hear all complaints regarding any individual member representative. The executive committee shall have full authority to discipline any member representative, including the authority to remove a member representative provided, however, the vote to remove the member representative must be approved by a super-majority of the executive committee, defined as the affirmative votes of sixty-six (66%) percent of a quorum of the executive committee. Further, such vote to remove a member representative or to discipline a member representative may be taken only after the member representative subject to the disciplinary action has been given notice and an opportunity to appear in front of the executive committee and respond to the charges. The nature of the proceeding at which the charges will be heard shall be determined solely by the executive committee and will be conducted as an executive session of the executive committee.”
