Governance Explanations

Form 990, Part VI, Section A, Line 6

College success foundation is the sole member of csf-dc.

Form 990, Part VI, Section A, Line 7A

The sole member, college success foundation, appoints its board chair, chief operating officer and board secretary to the csf-dc board.

Form 990, Part VI, Section A, Line 7B

The sole member approves the election of the csf-dc board members. Upon dissolution, the sole member's board members have the responsibility of distributing the remaining assets of csf-dc.

Form 990, Part VI, Section B, Line 11B

The review process includes a detailed review by the interim ceo and the the chief accounting and administrative officer of college success foundation (controlling entity). The form 990 is also reviewed by college success foundation's board audit committee, including the chairperson of the csf board. Subsequent to the review by the audit committee and prior to the filing of the return, all board members receive a copy of the 990 for review.

Form 990, Part VI, Section B, Line 12C

The policies, rules, and regulations adopted by the corporation relating to conflict of interest shall apply to any person appointed by the board of directors in any capacity and to the members of the board of directors themselves and key employees. Conflict of interest questionnaires are requested of all directors annually and for new directors at the time they join the board. The chief accounting and administrative officer reviews the questionnaire results, and if a conflict arises, the board member recuses themselves from the discussion and vote.

Form 990, Part VI, Section B, Line 15

The chief executive officer's salary is determined by recommendation from the college success foundation's governance committee to the personnel and compensation committee and voted on by the csf board of directors. External market salary reviews are conducted for all positions, including the ceo's, every 3-4 years. A review of the ceo position was completed in august 2016. The executive director's salary is reviewed by college success foundation's personnel and compensation committee and approved by the csf board of directors. If the csf board approves increases for all staff, the ceo and csf board chair review each individual in the administration process of increases. Compensation increase for the executive director was last approved in august 2016. Compensation for all new employees is reviewed at the time of hiring.

Form 990, Part VI, Section C, Line 19

Governing documents, conflict of interest policy, and financial statements are available to the public upon request.
