Governance Explanations

Form 990, Part VI, Section B, Line 11B

The data for the federal form 990 is provided to our outside accounting firm for preparation and guidance. After the return is complete, a draft version of the federal form 990 is first reviewed by senior management staff and then presented to the board of directors for review. After approval by the board of directors, the return is then timely filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The organization's conflict of interest policy is reviewed annually, and board members are required to disclose interests that could cause conflict. If the board or committee has reasonable cause to believe that a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose, if, after hearing the response of the member and making such further investigation as may be warranted in the circumstances, the board determines that the member has in fact failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.

Compensation for paid employees is determined after an analysis of salaries and benefits for comparable positions with comparable organizations to establish a reasonable range. All salary increases are reviewed and approved by the board of directors and documented in the meeting minutes.

The organization is exempt from taxes on income other than unrelated business income. No provision for income taxes is required for 2024 or 2023. The organization's income tax returns are subject to review and examination by federal and state taxing authorities. The organization is not aware of any activities that would jeopardize its tax-exempt status. SPECIFICALLY, WE SUPPORTED TEAMS WORKING AROUND THE WORLD, INCLUDING PEW CHARITABLE TRUST, CONSERVATION INTERNATIONAL, DYNAMIC PLANET REVIVE OUR OCEANS TEAM, AND CARTIER FOUNDATION AND DONOR PARTNERS.- FOS SUPPORTED WWF INTERNATIONAL TO UPDATE ITS PRACTICAL GUIDANCE ON THREAT RATINGS AND PAUSE-AND-REFLECT PROCESSES. THESE WERE CRITICAL MISSING PIECES THAT WILL HELP ROUND OUT A BROADER SUITE OF HOW-TO GUIDANCE FOR IMPLEMENTING WWF'S PROJECT AND PROGRAMME MANAGEMENT STANDARDS (ITS STANDARDS FOR GOOD CONSERVATION PRACTICE) AND WILL BE USED BY WWF STAFF AROUND THE GLOBE. - FOS AND THE MIRADI DEVELOPMENT TEAM WORKED ON MAJOR ENHANCEMENTS TO MIRADI SHARE: (1) NAVIGATION WITHIN MIRADI PROJECTS AND MIRADI SHARE PROGRAMS WAS OVERHAULED BASED ON USER FEEDBACK. THE NEW NAVIGATION STRUCTURE MAKES IT EASIER TO SEE EVERYONE INVOLVED IN MIRADI PROGRAMS OR PROJECTS, PROVIDES BETTER AND EXPANDED ACCESS TO REPORTS AND DATA VIEWS, SUPPORTS IMPROVED WORK PLANNING IN A NEW WORK PLANNING SECTION, CONSOLIDATES ALL PROGRAM / PROJECT ADMIN TOOLS IN ONE PLACE, AND HELPS USERS FIND RELATED PAGES WITH NEW HYPERLINKS BETWEEN PAGES. (2) A NEW COMMUNITY FORUM IN THE HELP CENTER ALLOWS MIRADI USERS TO INTERACT WITH AND SUPPORT ONE ANOTHER. (3) CONTINUED EXPANSION OF THE BULK IMPORT TOOLS MAKE IT EASIER TO USE MIRADI WITH OTHER COMMONLY USED APPLICATIONS, SUCH AS MICROSOFT EXCEL AND WORD. (4) COMMUNICATIONS WITH MIRADI USERS WERE IMPROVED THROUGH DEVELOPMENT OF A "WHAT'S NEW" WIDGET IN MIRADI SHARE THAT ALLOWS THE MIRADI TEAM TO QUICKLY SHARE NEW FEATURES AND UPDATES WITH MIRADI USERS. FOS ALSO MOVED MIRADI COMMUNICATIONS TO MAILCHIMP TO SUPPORT MORE EFFECTIVE MANAGEMENT OF MIRADI USE COMMUNICATIONS AND GIVE MIRADI USERS MORE CONTROL OVER THE COMMUNICATIONS THEY RECEIVE.

BY SYSTEMATICALLY PLANNING AND MEASURING, CONSERVATION TEAMS CAN LEARN FROM THEIR SUCCESSES AND FAILURES AND USE RESOURCES MORE EFFICIENTLY.ACCOMPLISHMENTS INCLUDE:- TO CONTINUE BUILDING ON THE ACCOMPLISHMENTS OF USAID MEASURING IMPACT 1 AND 2 PROGRAMS, ENVIRONMENTAL INCENTIVES AND FOS BEGAN WORK ON TWO NEW 5-YEAR CONTRACTS: IMPROVING DESIGN, EVIDENCE, AND LEARNING (IDEAL), WHICH WAS INTENDED TO SUPPORT USAID AND ITS PARTNERS IN THE APPLICATION OF THE USAID PROGRAM CYCLE, AND BUILDING EVIDENCE FOR DECISION MAKING (BE4D), WHICH WILL SUPPORT USAID AND ITS PARTNERS IN USING EVIDENCE IN THE ENVIRONMENTAL AND OTHER SECTORS.- THROUGH THE BE4D CONTRACT, FOS STAFF WORKED CLOSELY WITH THE FAMINE EARLY WARNING SYSTEMS NETWORK (FEWS NET), WHICH FOR 40 YEARS HAS PROVIDED THE US GOVERNMENT AND OTHER ACTORS WITH DATA TO PREDICT AND THEN PREVENT, PREPARE FOR, AND MITIGATE FOOD INSECURITY AND FAMINES. FOS HAS HELPED DEVELOP THEORY OF CHANGE BASED STRATEGIC PLANS FOR THIS PROGRAM AS IT EVOLVES TO TAKE ADVANTAGE OF NEW TECHNOLOGIES TO MEET EMERGING CHALLENGES.- FOS CONTINUED TO SUPPORT THE USFWS'S COMBATING WILDLIFE TRAFFICKING (CWT) BRANCH TO INCORPORATE ADAPTIVE MANAGEMENT ACROSS THEIR PORTFOLIO. IN 2023/2024, THE CWT BRANCH USED THEIR CURRENT CONTRACT TO PROVIDE ACCESS TO FOS'S SERVICES TO OTHER GROUPS WITHIN INTERNATIONAL AFFAIRS. AS A RESULT, FOS CONTINUED SUPPORTING EFFORTS TO ADDRESS TORTOISE AND FRESHWATER TURTLE (TFT) TRAFFICKING AND MARINE TURTLE TRAFFICKING. FOS ALSO HELPED THE BRANCH TO (1) REFLECT ON THEIR PROGRESS IMPLANTING THEIR OWN STRATEGIC PLAN THROUGH A SERIES OF PAUSE & REFLECT WORKSHOPS, AND (2) REFINE THE STRATEGIC PRIORITIES FOR THEIR HUMAN DIMENSIONS WORK.- FOS PROVIDED EXTENSIVE COACHING AND TRAINING ON THE APPLICATION OF MIRADI AND THE CONSERVATION STANDARDS TO THE SAN DIEGO ZOO WILDLIFE ALLIANCE (SDZWA) TO GROW BOTH THEIR IN-SITU AND EX-SITU CONSERVATION EFFORTS. AS A RESULT, SDZWA HAS ADOPTED THE CONSERVATION STANDARDS AND MIRADI TO MANAGE ALL OF THEIR CONSERVATION WORK. WITH FOS'S SUPPORT, SDZWA HAS REFINED THEIR CORE PROJECT DEVELOPMENT AND REPORTING PROCESSES TO INCORPORATE MIRADI, AND IS HELPING ITS PROGRAMS THINK ABOUT SCALING THEIR WORK. - FOS WORKED WITH REVIVE OUR OCEANS, WHICH IS A NEW EFFORT TO HELP MEET THE GLOBAL 30 X 30 TARGET BY HELPING TO ESTABLISH COASTAL MARINE PROTECTED AREAS AROUND THE WORLD. REVIVE IS A SIBLING ORGANIZATION TO THE NATIONAL GEOGRAPHIC PRISTINE SEAS, WHICH SEEKS TO DEVELOP LARGE MPAS IN REMOTE PARTS OF THE WORLD. FOS TOOK THE REVIVE TEAM THROUGH THE FOS SCALING CHALLENGE AND THEN HELPED THEM TO DEVELOP MORE COMPLETE SCALING PLANS FOR THEIR WORK IN SE ASIA, EUROPE, AND MEXICO. THIS INCLUDED CONDUCTING INTENSIVE ECONOMIC ANALYSIS OF THE COSTS AND BENEFITS OF ESTABLISHING THESE MPAS BASED ON FISHERIES AND MARINE ECOTOURISM.- FOS SUPPORTED FISHERYPROGRESS TO DEVELOP A THEORY OF CHANGE TO DOCUMENT THE ASSUMPTIONS BEHIND THEIR WORK. THIS THEORY OF CHANGE PROVIDED THE BASIS FOR STRUCTURING AN ASSESSMENT THAT FOS THEN CONDUCTED. FOS STAFF COORDINATED THE OVERALL PROCESS AND LED SEVERAL TECHNICAL, THEMATIC GROUPS TO GATHER AND DISTILL INPUT FOR UPDATES FROM THE CONSERVATION STANDARDS COMMUNITY.
