Governance Explanations

Form 990, Part VI, Section A, Line 3

The organization uses an outside management company, trinet, a professional employer organization ("peo") as a co-employer. Trinet was paid $4,780 during fiscal year 2017 for their services. The executive director, lisa hunter romanelli, listed in part vii, was paid by the peo. Her calendar year 2017 compensation is reported in part vii, section a. Her 2017 w-2 compensation as well as deferred compensation and non-taxable benefits were as follows: -lisa hunter romanelli: $146,034 base compensation, $8,700 bonus, $0 other compensation, $6,917 deferred compensation, and $674 non-taxable benefits.

Form 990, Part VI, Section A, Line 4

Two changes were made to the by-laws: i. The following sentence in section 3.2 was eliminated: the directors shall serve in three equal classes, designated class i, class ii and class iii, which designations shall be determined by the board at the time of election. Ii. Section 3.3 was changed to: a board member serves for a three-year term. This term can be renewed for additional three-year terms if the board member desires and is demonstrating ongoing fulfillment of board responsibilities as listed in section 2.1 of board manual and determined by end of term evaluation by board development committee and executive committee.

Form 990, Part VI, Section B, Line 11B

Reach institute has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, reviewed by the board chairman, treasurer and president & ceo and deemed ready to be filed with the internal revenue service, it is electronically sent to the board members of the organization for any comments. Any comments are then grouped, summarized and provided to the outside accountants. Each issue is documented and addressed until the return is finalized and approved for filing.

Form 990, Part VI, Section B, Line 12C

Once a year a list of vendors that provide services for reach institute is sent with a "conflict of interest compliance" letter which each director and officer must sign, disclosing any family or business relationship, and if there is any relationship, an explanation must be included. The board of directors will determine if any of the information disclosed will result in a conflict. If the board determines that a conflict exists, then that director/officer shall abstain from voting on the matter.

Form 990, Part VI, Section B, Line 15A

The executive committee of the board of directors reviews available nonprofit compensation survey data for organizations of a similar size when determining the compensation for the executive director. The executive committee uses this information to make a recommendation for the executive director's compensation to the full board of directors and any decision is documented in the board minutes. The executive director's salary was last increased in 2017.

THROUGH CATIE, THERAPISTS LEARN HOW TO ACCURATELY ASSESS THEIR CLIENTS AND PROVIDE COGNITIVE-BEHAVIORAL THERAPY (CBT) FOR DISRUPTIVE BEHAVIOR SYMPTOMS, ANXIETY SYMPTOMS, DEPRESSION SYMPTOMS, AND TRAUMA SYMPTOMS. TRAINING INCLUDES A 2-DAY WORKSHOP FOLLOWED BY 12 GROUP CONSULTATION CALLS. IN 2017, 33 CLINICIANS COMPLETED CATIE TRAINING. IN ADDITION TO THIS WORK, THROUGH THE CATIE PROGRAM REACH DEVELOPED WEBINARS AND ONLINE LEARNING MODULES FOCUSED ON EVIDENCED-BASED CHILD MENTAL HEALTH TREATMENT FOR USE BY A BEHAVIORAL HEALTH INSURANCE COMPANY.
