Governance Explanations

Form 990, Part VI, Section B, Line 11

Reach institute has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, reviewed by management and is ready to be filed with the internal revenue service, it is electronically sent to the board members of the organization for any comments. Any comments are then grouped, summarized and provided to the outside accountants. Each issue is documented and addressed until the return is finalized and approved for filing.

Form 990, Part VI, Section B, Line 12C

Once a year a list of vendors that provide services for reach institute is sent with a "conflict of interest compliance" letter which each director and officer must sign, disclosing any family or business relationship, and if there is any relationship, an explanation must be included. The board of directors will determine if any of the information disclosed will result in a conflict. If the board determines that a conflict exists, then that director/officer shall abstain from voting on the matter.

Form 990, Part VI, Section B, Line 15A

The board of directors obtains comparability data and reviewed compensation studies for the salary of the executive director. All board members must approve any increases to compensation. The organization is considered to be small in operations and therefore compensation for these individuals is less than it would be at a similar organization.

The organization makes its form 990 available for public inspection as required under section 6104 of the internal revenue code. The return is posted on guidestar.org and other similar types of websites.
