Governance Explanations

Form 990, Part VI, Section B, Line 11B

Reach institute has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, reviewed by the board chairman, treasurer and ceo and deemed ready to be filed with the internal revenue service, it is electronically sent to the board members of the organization for any comments. Any comments are then grouped, summarized and provided to the outside accountants. Each issue is documented and addressed until the return is finalized and approved for filing.

Form 990, Part VI, Section B, Line 12C

The organization currently has in place a conflict of interest policy that applies to all directors, officers and committee members. Each director, officer and committee member must annually complete, sign and submit a statement certifying that they have received, read and understood the conflict of interest policy and agree to comply with it. The policy requires that all individuals disclose to the board any potential or actual conflicts that may exist. If a potential or actual conflict is disclosed at any time, the board will review the material facts and circumstances. If it is determined that a conflict does exist, the board will determine whether the transaction at issue may be obtained with reasonable efforts via a similarly or more advantageous transaction or arrangement that would not give rise to a conflict. The interested person must not participate in any vote or discussion on this matter and must leave the meeting while the determination of the conflict of interest is discussed and voted upon. The decision of any actual or potential conflict of interest is documented in the minutes of the board meeting.

Form 990, Part VI, Section B, Line 15

The executive committee of the board of directors reviews available nonprofit compensation survey data for organizations of a similar size and form 990's of similar organization when determining the compensation for the chief executive officer (ceo). The executive committee uses this information to make a recommendation for the ceo's compensation to the full board of directors. Contemporaneous substantiation of these deliberations and decisions are documented in the minutes of the committee's meeting. The process was last undertaken in 2023.

THROUGH CATIE, THERAPISTS LEARN HOW TO ACCURATELY ASSESS THEIR CLIENTS AND PROVIDE AND PROVIDECOGNITIVE-BEHAVIORAL THERAPY (CBT) FOR DISRUPTIVE BEHAVIOR SYMPTOMS, ANXIETY SYMPTOMS, DEPRESSION SYMPTOMS, AND TRAUMA SYMPTOMS. TRAINING INCLUDES A 2-DAY WORKSHOP FOLLOWED BY 12 GROUP CONSULTATION CALLS. WE ALSO HAVE CATIE COURSES FOR PRIMARY CARE PROVIDERS: CBT FOR ANXIETY IN PEDIATRIC PRIMARY CARE (CBT-A IN PPC), PRACTICAL BEHAVIOR MANAGEMENT IN PRIMARY CARE (PBM), ADDRESSING TRAUMA IN PEDIATRIC PRIMARY CARE (ATIPP), AND MENTAL HEALTH TRAINING FOR SCHOOL NURSES. IN 2024, 109 PRIMARY CARE PROVIDERS COMPLETED CBT-A TRAINING, 33 PRIMARY CARE PROVIDERS COMPLETED PBM TRAINING, 18 PROVIDERS COMPLETED ATIPP TRAINING, AND 57 COMPLETED MENTAL HEALTH TRAINING FOR SCHOOL NURSES.
