“Ois has a board of 3 interim directors”

“The interim board is comprised of the provincials of the united northeast province and the maryland province of the society of jesus, and the treasurer of the united northeast province. Except for the interim board, each board of directors shall be comprised of: (i) the provincials of the maryland and the united northeast provinces of the society of jesus (or the provincial(s) of any successor(s) to the maryland and/or united northeast provinces of the society of jesus) (each, an "ex officio director-; together, as applicable, the "ex officio directors"); and (ii)consistent with section 4.03(a), up to nine (9) individuals, each of whom shall be a member of the maryland or united northeast provinces of the society of jesus (or of any successor(s) to the maryland and/or united northeast provinces of the society of jesus). Directors shall be elected: (i) by the majority of the directors then in office at each annual meeting of the corporation, provided there is a quorum (or, if not at an annual meeting, then at such other meeting held pursuant to section 2.03 (b)); and (ii) upon confirmation of such action of the board of directors by the ex officio director(s).”

“By virtue of being members of ois, the md and usa northeast provinces have substantial input as to the activities of ois. However they do not have nor they exercise, direct management authority over the decisions of ois. Ois keeps the provinces informed of its activities via meetings with provincial staff, their invitation to attend ois bod meetings, periodic written and oral reports and joint attendance at some events run by ois.”

“Information for the form 990 is prepared by ois and provided to hcfl who prepares a draft of the form 990 and distributes it to the management and board of ois for review. The form 990 is finalized after any changes are made as a result of the review.”

“As situations arise, the board of directors and employees of the united northeast province will discuss whether a situation presents a conflict of interest. If it does, the board will vote on any appropriate restrictions of activity by the person with the conflict.”

“Office of ignatian spirituality ("ois") promotes ignatian spirituality through networking, reflection, and learning while managing and coordinating the diverse ministries that derive from the spiritual exercises of st. Ignatius.”

“Retreat house oversight ois is responsible for reviewing the management of six retreat houses in its member provinces. The goal is to foster greater collaboration among the six retreat house directors and to serve as a liason between the directors and provincial leadership.”
