“The organization uses a management company, annie kruise, llc, to handle the daily administrative functions of the organization.”

“The membership categories of the corporation are the following: regular members (professional)- limited to individuals actively engaged in arboriculture and/ or urban forestry and related fields including those engaged in commercial, municipal and utility arboriculture or who represent or are employed by governmental agencies, or organizations or institutions, whose principal duties are concerned with research, instruction, extension, and administration. Associate members - limited to other individuals interested in arboriculture and/ or urban forestry. Honorary members - limited to those individuals who have been recognized by the board of directors as having provided outstanding service to the field of arboriculture and/ or urban forestry student members - limited to students currently enrolled in courses in arboriculture and/ or urban forestry or supporting and allied fields, in an accredited institution, college or university at an undergraduate level or graduate level. Young professional - limited first 2 years of service in the industry (arboriculture industry) with approval (confirmation) from their supervisor and less than 9 college credits in arboriculture and/ or urban forestry or supporting and allied fields, in an accredited institution, college or university at an undergraduate level or graduate level. Sustaining member - limited to an organization or business that shall have interests related to the purpose of asm and are to be represented by a professional member. Eligible for member benefits under such terms as the board of directors shall determine. - limited number of asm professional (regular) memberships as set by the board of directors - voting privileges as an organization shall be limited to the number of professional (regular) memberships as set by the board of directors. (see section 2 voting) - dues structure shall be set by the board of directors and reviewed annually. Voting rights of members - in general, student and young professional members shall not have the right to vote or to hold office in the corporation. All other members in good standing with the corporation shall have the right to vote at the annual or special meetings of the members and on such matters as the board may bring before the members. Each voting member is entitled to one (1) vote on each matter submitted to a vote.”

“The treasurer is provided the form 990 for review and then provides feedback to the remaining board members”

“At the first meeting of each year, the board members are required to sign a conflict of interest document listing all conflicts. Prior to the start of each bord meeting, the board members are reminded to state any conflicts of interest based on the discussion and to abstain from voting on any matters where a conflict exists.”

“The executive director is an independent contractor. The contract is reviewed and approved by the board.”

“To advance the common business interests of individuals and entities engaged in arboriculture/urban forestry in michigan, to promote and encourage the use of arboriculture/urban forestry services by homeowners, businesses and others in michigan, to provide for professional development promoting high standards and sound practices within the industry, to work cooperatively with other professional associations in the field of arboriculture/urban forestry towards the attainment of mutually compatible objectives.”
