Governance Explanations

Form 990, Part VI, Line 11B: Form 990 Review Process

The organization engages a cpa that prepares the 990 and works closely with the internal accountant and the executive director to get all the necessary information. The 990 is then reviewed by the executive director and e-mailed to all board members for review and comments before it is electronically filed by the cpa.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

The organization has a clear conflict of interest policy. The board expects of itself and its members ethical and a business like conduct. This commitment includes proper use of authority and appropriate decorum in group and individual behaviour when acting as directors of the organization. Further, each board member is required to acknowledge and sign the conflict of interest policy on an annual basis. Any potential conflict is reviewed and resolved at the quarterly board meetings. The board will also engage an independent advisor or mediator on a case by case basis when the situation arises to resolve any conflict of interest issues.
