“Any person or organization that 1) advocates on behalf of patients and consumers on areas regulated by the fda or 2) is directly or indirecty engaged in the pharmaceutical, medical device manufacturing, food or food safety, veterinary products, consumer advocacy, or other health-related industry is eligible to become a member of the alliance.”

“Each member in good standing is entitled to one vote on any question that may require a vote of the alliance's membership. If an organization is a member of the alliance, that organization must designate a natural person to act as its voting representative. If a quorum is present when a vote is taken, the affirmative vote of a majority of members represented and entitled to vote at that meeting is the act of the members, unless maryland law, the alliance's certificate of incorporation, or the bylaws require the vote of a greater number of directors. The members elect the board of directors at each annual meeting of the members.”

“All classes of members are entitled to vote only on the election of directors as proposed and voted on by the board of directors. Although each member is entitled to one vote, the alliance's bylaws provide that the aggregate vote of all individual members cannot exceed twenty percent of the vote of all members entitled to vote at a duly held meeting. In the event that the individual members present at any duly held meeting make up more than twenty percent of all members entitled to vote at such a meeting, the vote of each individual member is ratably reduced to provide that the vote of individual members, in the aggregate, constitutes no more than twenty percent of the total vote of all members.”

“The preparation of the form 990 is overseen by the executive committee. Once the executive committee has collected and dealt with comments from its members, a final draft of the form 990 is prepared and filed with the internal revenue service.”

“The alliance makes its documents available to the public upon request.”
